Non-Solicitation of Employees/Contractors. During the Term and for a period of 12 months thereafter, Licensee will not, without the prior written consent of Licensor, either directly or indirectly hire any employees of or consultants to Licensor, nor will Licensee solicit or induce or attempt to induce any persons who were employees of or consultants to Licensor at the time of such termination or during the period of 90 days immediately preceding such termination, to terminate their employment or consulting agreement with Licensor.
Non-Solicitation of Employees/Contractors. 10.1 Unless Executive receives the prior express written consent of Company, Executive shall not, during employment, or for two (2) years after termination of employment, induce or solicit, or attempt to induce or solicit, directly or indirectly, any person who is in the employment of, or is providing services to, Company, to leave or terminate such employment or business relationship.
10.2 If Executive violates Section 10.1 above, then at the sole election of Company, Company shall be entitled to seek and obtain an injunction in addition to any other remedies available under this Agreement or by law.
Non-Solicitation of Employees/Contractors. Executive agrees that while employed by Company and during the Restricted Period following Executive’s Termination Date, regardless of the reason for termination of employment, Executive shall not directly or indirectly solicit, cause to be solicited, assist or otherwise be involved with the solicitation of, any employee, contractor or other person to terminate that person’s employment, contract or relationship with Company or to breach that person’s employment agreement or contract with Company. Further, Executive agrees that while employed by Company and during the Restricted Period following Executive’s Termination Date, regardless of the reason for termination of employment, Executive will not, directly or indirectly, hire, recruit, solicit, or participate or assist any person or entity in hiring, recruiting or soliciting, any individual who was an employee or contractor during the 6 month period immediately following such employee or contractor’s termination of employment, contract or relationship with Company.
Non-Solicitation of Employees/Contractors. Employee agrees that during the course of his/her employment with the Company, and for the period of twelve (12) months following the termination of Employee’s employment (the “Restricted Period”), regardless of the reason for the termination, Employee will not solicit, recruit or induce, in any manner, whether directly or indirectly, any “Person” to leave his or her employment or engagement with the Company. “
Non-Solicitation of Employees/Contractors. During the Restricted Period, Xxxx shall not, directly or indirectly (including through any Affiliate of Xxxx), solicit, encourage, induce, recruit, hire, persuade, or assist any employee, agent, supplier, independent contractor, or representative of Mindspeed or any of its Affiliates to leave or terminate their employment or relationship with Mindspeed or any of its Affiliates.
Non-Solicitation of Employees/Contractors. The parties acknowledge that each has made, and will continue to make, significant expenditures in training and recruiting its employees and contractors. Accordingly, each party agrees that during the Term of this Agreement and for a period of 12 months after the end of the Term of this Agreement, the parties will not, directly or indirectly, solicit, induce, attempt to induce, or hire any person who then is, or was within 12 months previously, an employee or independent contractor of the other party, to become employed by, engaged by, or in any way connected with such party.
Non-Solicitation of Employees/Contractors. Executive acknowledges the character of the Company’s business and the substantial amount of time, money, and effort that the Company has spent and will spend in recruiting, hiring, training, and retaining, and developing Confidential Information relating to, employees and contractors. Executive agrees that he will not, during his relationship with the Company and during the twelve (12) months immediately following the conclusion of the term of his service on behalf of the Company, alone or with others, directly or indirectly, except for the Company’s benefit:
i. Solicit for employment, hire, or employ, or cause to be solicited for employment, hired, or employed, any employee or contractor that Executive has had contact with during his relationship with the Company; or
ii. Induce, attempt to induce, encourage or attempt to persuade to leave the Company or otherwise to alter its business relationship with the Company any Company employee or contractor that Executive has had contact with during his relationship with the Company. If a court of competent jurisdiction or arbitrator finds that a twelve (12) month restricted period is not reasonably necessary to protect legitimate business interests of the Company, Executive agrees that the restricted period for the non-solicitation of employees/contractors shall be the six (6) months immediately following any conclusion of the term of Executive’s service.
Non-Solicitation of Employees/Contractors. During the terms of this Agreement and for a period of two (2) years thereafter, Consultant and any of his affiliated entities, will not (i) solicit, directly or indirectly, for himself or for any other person or entity, employees of the Company or its affiliates, or any independent contractors of the Company or its affiliates, (ii) solicit, directly or indirectly, for himself or for any other person or entity, existing or potential customers for business that will compete with the Company's business, or (iii) directly or indirectly encourage, or do any act that would encourage, any employees or independent contractors of the Company to terminate their working relationship with the Company. For purposes of this Agreement, "employees" and "independent contractors" shall include cottage, piece work, and similar laborers retained by the Company or its affiliates for the benefit of the Company or its affiliates.
Non-Solicitation of Employees/Contractors. The Client agrees that during the currency of this Agreement and for one (1) year following the date of termination of this Agreements hereunder it shall not solicit the employees and/or contractors of OSG for the purpose of offering them employment or otherwise seeking services reasonably similar to those herein.
Non-Solicitation of Employees/Contractors. During the Restricted Period, Seller shall not, directly or indirectly (including through any Affiliate of Seller), hire, engage, employ, solicit, take away, induce, or attempt to hire, engage, solicit, take away or induce (either on Seller’s behalf or on behalf of any other Person), any Person who is an employee or contractor of the Company or any of its Affiliates.
