NON-SOLICITATION OF OFFERS. From the date of this Agreement to the earlier of the Closing Date or the termination of this Agreement, Lockheed Xxxxxx shall not, and Lockheed Xxxxxx shall not authorize or permit any of its Representatives to, directly or indirectly (through Affiliates or otherwise), (i) solicit, initiate or take any action knowingly to facilitate the submission of inquiries, proposals or offers from any Person (other than Newco) relating to any acquisition or purchase of all or a substantial part of the Business, in one transaction or a series of related transactions (whether by asset or stock sale, business combination transaction or otherwise), (collectively, the "Alternative Transaction Proposals"), or (ii) enter into or participate in any discussions or negotiations regarding any of the foregoing, or furnish to any other Person any information with respect to the Business (other than in the ordinary course of operating the Business and in connection with the possible sale of the Instrumentation Recorder Product Line of Advanced Recorders) or otherwise cooperate in any way with, or assist or participate in, facilitate or encourage, any effort or attempt by any other Person to do or seek any of the foregoing. Except to the extent that it is prohibited from doing so by contractual agreements that were in existence as of January 31, 1997 (of which there are two), if Lockheed Xxxxxx, directly or indirectly, receives an Alternative Transaction Proposal, Lockheed Xxxxxx shall promptly inform the Purchasers of the terms and conditions of the Alternative Transaction Proposal and the identity of the Person making it.
NON-SOLICITATION OF OFFERS. Between the date of this Agreement and the earlier of the Closing Date or the termination of this Agreement, Sellers shall not solicit any offers for, engage in any negotiations or discussions with respect to, or provide any information with respect to Sellers in connection with any sale, lease, transfer or other conveyance of all or any substantial portion of the Purchased Assets. Sellers shall promptly notify Purchaser of any inquiry made to Sellers with respect to any of the foregoing, specifying the source of such inquiry and any proposed terms. Between the date of this Agreement and the earlier of Closing Date or termination of this Agreement, Purchaser shall not solicit or make any offers with respect to the sale of its fixed wireless business or the Business. Purchaser shall notify Sellers of any such solicitation made to it that it intends to pursue, specifying the source of such inquiry and any proposed terms.
NON-SOLICITATION OF OFFERS. Until such time, if any, as this Agreement is terminated, Seller will not, directly or indirectly solicit, initiate, or encourage any inquiries or proposals from, discuss or negotiate with, provide any non-public information to, or consider the merits of any unsolicited inquiries or proposals from, any person (other than Purchaser) relating to any transaction involving the sale of its business or assets (other than in the ordinary course of business, and other than assets which are not part of the Property), or any merger, consolidation, business combination, or similar transaction involving the Seller.

NON-SOLICITATION OF OFFERS. From and after the date of this Agreement until the termination of this Agreement pursuant to its terms, Seller will not solicit or initiate the submission of any proposal or offer from any person or entity relating to the acquisition, licensing, transfer or encumbrance of any of the Assets either alone or together with any other portion of Seller's business; provided, that Seller shall at all times act in a manner consistent with its fiduciary obligations to its creditors and to its stockholders relating to any such acquisition of the Assets, the merger or consolidation of Seller with or into any other corporation or corporations, the dissolution of Seller or the acquisition of more than 15% of the total outstanding equity interests in Seller (each, an "Acquisition"), and provided, further, that notice and publication of the sale as approved by the Bankruptcy Court shall not be deemed a violation of this Section 11.5. In the event that, during the time that this Agreement shall remain in effect, Seller shall receive any offer or other indication of interest from any third party relating to any Acquisition (an "Acquisition Proposal"), Seller shall promptly notify Buyer in writing, and shall in such notice set forth in reasonable detail the identity of the third party, the terms and conditions of such Acquisition Proposal and any other information requested of it by the third party, and shall keep Buyer informed as to the status thereof, and shall not directly or indirectly through any officer, director, Affiliate, agent or representative of Seller or otherwise, accept, endorse or seek Bankruptcy Court approval of any Acquisition Proposal without first affording Buyer a reasonable prior opportunity to make a higher and better offer.
NON-SOLICITATION OF OFFERS. Without the prior written consent of the Purchaser, except as permitted by Section 5.01, from the date of this Agreement to the earlier of the Closing Date or the termination of this Agreement, the Seller shall not authorize or permit any of its Representatives to, directly or indirectly, (i) solicit, initiate or take any action knowingly to facilitate the submission of inquiries, proposals or offers from any Person (other than the Purchaser) relating to any acquisition or purchase of all or part of the Business (whether by asset or stock sale, business combination transaction or otherwise), or (ii) enter into or participate in any discussions or negotiations regarding any of the foregoing, or furnish to any other Person any information with respect to the Business (other than in the ordinary course of business) or otherwise cooperate in any way with, or assist or participate in, facilitate or encourage, any effort or attempt by any other Person to do or seek any of the foregoing.

  • Non-Solicitation of Customers During the Restricted Period, the Executive shall not, directly or indirectly, solicit or induce, or attempt to solicit or induce, any customer, supplier, licensee, licensor or other business relation of the Company to terminate its relationship or contract with the Company, to cease doing business with the Company, or in any way interfere with the relationship between any such customer, supplier, licensee or business relation and the Company (including making any negative statements or communications concerning the Company or their employees).

  • Non-Solicitation of Clients During the Restricted Period, the Executive agrees not to solicit, directly or indirectly, on his own behalf or on behalf of any other person(s), any client of the Company to whom the Company had provided services at any time during the Executive’s employment with the Company in any line of business that the Company conducts as of the date of the Executive’s termination of employment or that the Company is actively soliciting, for the purpose of marketing or providing any service competitive with any service then offered by the Company.

In addition, neither the Board of Directors of the Corporation nor any Committee thereof shall (x) withdraw or modify, or propose to withdraw or modify, in a manner adverse to Parent or Sub the approval and recommendation of the Offer and this Agreement or (y) approve or recommend, or propose to approve or recommend, any Acquisition Proposal, provided that the Corporation may recommend to its shareholders an Acquisition Proposal and in connection therewith withdraw or modify its approval or recommendation of the Offer or the Merger if (i) the Board of Directors of the Corporation has determined that the Acquisition Proposal is a Superior Proposal, (ii) all the conditions to the Corporation's right to terminate this Agreement in accordance with Section 8.1(e) have been satisfied (including the expiration of the three day period described therein and the payment of all amounts required pursuant to Section 9.1), (iii) simultaneously with such withdrawal, modification or recommendation, this Agreement is terminated in accordance with Section 8.1(e) and (iv) the Acquisition Proposal does not provide for any breakup fee or other inducement to the acquiror other than reimbursement of out of pocket expenses incurred in connection with such Acquisition Proposal. Any actions permitted under, and taken in compliance with, this Section 5.9 shall not be deemed a breach of any other covenant or agreement contained in this Agreement.

  • Non-Solicitation of Suppliers Executive agrees that during the Restricted Period, Executive will not, directly or indirectly, solicit or influence, or attempt to solicit or influence, the Company’s suppliers to provide goods or services then provided to the Employer to any other person or entity in Competition with the Employer.

  • Non-Solicitation of Business The Participant agrees and acknowledges that by virtue of the Participant’s employment with, or service to, the Employer, the Participant has developed or will develop relationships with and/or had or will have access to Confidential Information about Customers and agents, brokers and similar key business partners (“Key Business Partners”) and is, therefore, capable of significantly and adversely impacting existing relationships that the Company or an Affiliate has with them. The Participant further agrees and acknowledges that the Company and/or its Affiliates have invested in their and the Participant’s relationship with Customers and Key Business Partners and the goodwill that has been developed with them; therefore, the Company and/or its Affiliates have a legitimate business interest in protecting these relationships against solicitation and/or interference by the Participant for a reasonable period of time after the Participant’s employment with, or provision of services to, the Employer ends. Accordingly, during the Participant’s employment with the Employer and during the Restricted Period, the Participant shall not, directly or indirectly initiate, contact or engage in any contact or communication, of any kind whatsoever, that has the purpose or effect of: (A) inviting, assisting, encouraging or requesting any Customer or Key Business Partner to (1) transfer the Participant’s business from the Company or an Affiliate to the Participant, the Participant’s subsequent employer or any other third party, or (2) otherwise diminish, divert, discontinue, or terminate Customer’s or Key Business Partner’s patronage and/or business relationship with the Company or an Affiliate; or (B) inviting, assisting, encouraging or requesting any Customer to purchase any products or services from the Participant, the Participant’s subsequent employer or any other third party that are or may be competitive with the products or services of the Company or an Affiliate, or use any products or services of the Participant, the Participant’s subsequent employer or of any other third party that are or may be competitive with the products or services of the Company or an Affiliate. In addition to the foregoing restrictions, the Participant agrees that, during the Participant’s employment with the Employer and during the Enhanced Restricted Period, the Participant shall not be personally involved in the negotiation, competition for, solicitation or execution of any individual book roll over(s) or other book of business transfer arrangements involving the transfer of business away from the Company or an Affiliate. Notwithstanding the foregoing, if the Participant’s primary residence is located in the State of California, the restrictions set forth in this subsection (c)(ii) shall be replaced with those set forth in Appendix I of this Agreement.

  • No Solicitation of Customers During the Executive’s employment with the Employer and for a period of 12 months thereafter, the Executive shall not (except on behalf of or with the prior written consent of the Employer), either directly or indirectly, on the Executive’s own behalf or in the service or on behalf of others, (A) solicit, divert, or appropriate to or for a Competing Business, or (B) attempt to solicit, divert, or appropriate to or for a Competing Business, any person or entity that is or was a customer of the Employer or any of its Affiliates at any time during the 12 months prior to the date of termination and with whom the Executive has had material contact.
