Restrictions on Solicitation. Executive shall not, directly or indirectly, without the prior written consent and approval of the Company, (i) interfere with or attempt to interfere with the relationship between any person who is, or was during the then most recent three (3) month period, an employee, agent, representative or independent contractor of the Company, or solicit, induce or attempt to solicit or induce any of them to leave the employ or service of the Company or to violate the terms of their respective contracts, agreements or any employment arrangements with the Company; or (ii) induce or attempt to induce any customer, client, supplier, distributor, licensee or other business relation of the Company to cease doing business with the Company, or in any way interfere with the contract or relationship between the Company and any customer, client, supplier, distributor, licensee or other business relation of the Company. As used herein, the term “indirectly” shall include, without limitation, Executive’s permitting the use of Executive’s name by any Competitive Business to induce or interfere with any employee or business relationship of the Company.
Restrictions on Solicitation. During the Restricted Period and except as required pursuant to Executive's duties to the Company in connection with the employment relationship, Executive will not, directly or indirectly: (i) solicit or contact any customer of the Company Group (or any other entity that Executive knows is a potential customer with respect to specific products of the Company Group and with which Executive have had contact during the period of Executive's employment with the Company Group) for any commercial pursuit that to Executive's knowledge is in competition with the Company, or that to Executive's knowledge is contemplated from time to time during the period of Executive's employment with the Company by the Company's business plan; (ii) take away or interfere or attempt to interfere with any custom, trade, business, patronage or other business relation of the Company, or induce, or attempt to induce, any employees, agents or consultants of or to the Company Group to do anything from which Executive is restricted by reason of this Section 5; or (iii) induce or aid others to induce employees, agents or consultants of the Company Group to terminate their employment with the Company Group, or interfere or attempt to interfere with any employees, agents or consultants of the Company Group.
Restrictions on Solicitation. The Executive covenants to and agrees that, during the term of this Agreement and for a period of two (2) years following the cessation of the Executive’s employment with the Company for any reason whatsoever, the Executive shall not, without the prior express written consent of the Company:
(a) directly or indirectly assist (whether as principal, agent, independent contractor, supplier, consultant, lender, financier or in any capacity whatever) any Person in or with any activities which directly or indirectly consist of soliciting any of the Company’s customers or clients;
(b) have any direct or indirect interest (whether as principal, beneficiary, shareholder, partner, nominee, trustee, supplier, creditor or otherwise) in or with any Person whose activities consist of soliciting any of the Company’s customers or clients;
(c) directly or indirectly deliberately take any action which may reasonably result in the relations between the Company and the suppliers, customers, clients or employees to or of the Business being impaired or which may otherwise be detrimental to the Business in a material manner.
Restrictions on Solicitation. During the Restricted Period, and except as required pursuant to the Participant's duties to the Bunge Group in connection with the employment relationship, the Participant shall not, directly or indirectly: (i) solicit or contact any customer of the Bunge Group (or any other entity that the Participant knows is a potential customer with respect to specific products of the Bunge Group and with which the Participant has had contact during the period of his or her employment with the Bunge Group) for any commercial pursuit that to the knowledge of the Participant is in competition with the Bunge Group or that to the knowledge of the Participant is contemplated from time to time during the period of his or her employment with the Bunge Group by any corresponding business plan; (ii) take away or interfere or attempt to interfere with any custom, trade, business or patronage of the Bunge Group, or induce, or attempt to induce, any employees, agents or consultants of or to the Bunge Group to do anything from which the Participant is restricted by reason of this Section 4(d); or (iii) offer or aid others to offer employment to employees of the Bunge Group, or interfere or attempt to interfere with any employees of the Bunge Group. The Restricted Period shall be extended by the length of any period during which the Participant is in breach of any of the terms of this Section 4(d)(iii).
Restrictions on Solicitation. During the period (the "RESTRICTED PERIOD") beginning on the Effective Time and ending on the earlier of (a) the fourth anniversary of the Effective Time and (b) the second anniversary of the date of cessation of the Employment Period for any reason whatsoever, Executive shall not, directly or indirectly, solicit or contact any customer of the Company or any of the Affiliates for any commercial pursuit that is in competition with the Company or any of the Affiliates, or that is contained from time to time by the Company's business plan, or take away or interfere or attempt to interfere with any custom, trade, business or patronage of the Company or any of the Affiliates, or induce, or attempt to induce, any employees, agents or consultants of or to the Company or any of the Affiliates to do anything from which Executive is restricted by reason of this Agreement nor shall Executive, directly or indirectly, offer or aid others to offer employment to or interfere or attempt to interfere with any employees, agents or consultants of the Company or any of the Affiliates.
Restrictions on Solicitation. During the Restricted Period, you agree with the Company that you shall not in any way, directly or indirectly (except in the course of your employment with the Company), (x) call upon, solicit, advise or otherwise do, or attempt to do, business with any person who is, or was, during the then most recent 12-month period, a customer of any member of the Bunge Group (or any other entity that you know is a potential customer with respect to specific products of the Bunge Group and with which you have had contact during the period of your employment with the Bunge Group), for purposes of competing with the Bunge Group, (y) take away or interfere or attempt to take away or interfere with any custom, trade or business of any member of the Bunge Group, or (z) interfere with or attempt to interfere with any person who is, or was during the then most recent 12-month period, an employee, officer, representative or agent of any member of the Bunge Group, or hire, solicit, induce or attempt to solicit or induce any of them to terminate their service with any member of the Bunge Group or violate the terms of their contracts or any employment arrangements, with any member of the Bunge Group. The Restricted Period shall be extended by the length of any period during which you are in breach of any of the terms of this Section 8.
Restrictions on Solicitation. For a period of twenty four (24) months after the Date of Termination, the Executive will not: (i) hire any person who was employed by the Parent Company or the Subsidiaries on such Date of Termination or at any time within six months prior thereto or hire any agent, consultant, or independent contractor of the Parent Company or the Subsidiaries, or of any organization with respect to which the Parent Company or its Subsidiaries has agreed to a similar prohibition and of which the Executive has knowledge, or induce or attempt to induce any such person to discontinue such employment or affiliation with the Parent Company or the Subsidiaries or such organization, as the case may be, or (ii) induce or attempt to induce any client or customer of the Parent Company or the Subsidiaries on the date of termination to discontinue any business relationship or to refrain from entering into a new business relationship with the Parent Company or the Subsidiaries, including, without limitation, the solicitation or interference with any borrowers or brokers who have submitted loans or loan applications to the Parent Company or the Subsidiaries.
Restrictions on Solicitation. During any period in which Employee renders consulting services to the Company and for a period of twelve (12) months thereafter, Employee shall not recruit or otherwise solicit, entice, induce or divert, or attempt to solicit, entice, induce or divert, any employees or customers of the Company, or any of its subsidiaries or affiliates, to terminate their employment with, or otherwise cease their relationships with (as applicable), the Company or any of its subsidiaries or affiliates.
Restrictions on Solicitation. During the period beginning on the Effective Date and ending on the second anniversary of the date of cessation of the employment of the Executive for any reason whatsoever (the "Restricted Period"), Executive shall not, directly or indirectly, without the prior written approval of the Company, solicit or contact any customer, or any prospective customer (with whom the Executive has had contact during the last 12 months of the term of this Agreement), of the Company or any of the Affiliates for any commercial pursuit which Executive knows, or should know, is in competition with the Company or any of the Affiliates, or that is contemplated from time to time by the Business Plan (as defined below) or take away or interfere or attempt to interfere with any custom, trade, business or patronage of the Company or any of the Affiliates, or induce, or attempt to induce, any employees, agents or consultants of or to the Company or any of the Affiliates to do anything from which Executive is restricted by reason of this Agreement nor shall Executive, directly or indirectly, offer or aid others to offer employment to or interfere or attempt to interfere with any employees, agents or consultants of the Company or any of the Affiliates. For purposes of this Agreement, "Business Plan" shall mean, at any point in time, the then current business plan of the Company and any business plans of the Company in effect during the prior 18 months.
Restrictions on Solicitation. I agree that during the Restricted Period, I shall not, directly or indirectly, (a) solicit, induce, recruit or attempt to interfere with the relationship between any person who is, or was during the then most recent six-month period, an employee, officer, representative, member or agent of the Company, or solicit, induce or attempt to solicit or induce any of them to leave the employ of the Company, or violate the terms of their respective contracts, employment relationships or employment arrangements, with the Company; or (b) solicit, induce or attempt to induce any customer, client, supplier, licensee or other business relation of the Company to cease doing business with the Company, or in any way interfere with the relationship between the Company and any customer, client, supplier, licensee or other business relation of the Company or otherwise disrupt, damage, impair or interfere in any manner with the business of Company after the Closing Date. As used herein, the term “indirectly” shall include, without limitation, my permitting the use of my name by any competitor of the Company to induce or interfere with any employee or business relationship of the Company. For purposes of this Section 7 references to the Company shall be deemed to include the Purchaser and the Related Purchaser.
