NONBINDING EFFECT. By execution of this MOU, CITY is not committing itself to or agreeing to undertake any acts or activities requiring the subsequent independent exercise or discretion of CITY or any agency or department thereof. Execution of this MOU by CITY and MERCHANTS is merely an agreement to enter into a period of good faith negotiations according to the terms hereof, reserving final discretion and approval by CITY and MERCHANTS to any development agreement and all proceedings and decisions in connection therewith. In addition to the above, CITY and MERCHANTS understand and acknowledge the following:
