Discretion of City. City’s execution of this Agreement in no way limits the discretion of City in the permit or approval process in connection with any site plan approvals, subsequent entitlements, land use decisions, construction or improvements which are within City’s jurisdiction, except to the extent expressly and unequivocally stated herein.

Discretion of City. Upon any termination of Service, City, in its sole discretion, may, but shall not be obligated to, direct Company to remove, at Company's sole cost and expense, all, or any portion designated by City, of the System installed by Company from the Right-of-Way of City in accordance with all applicable requirements of City and subject to the following: (a) This provision shall not apply to buried portions of the System which, in the opinion of City, cannot be removed; (b) In removing the System, or part thereof, Company shall refill and compact, at its own cost and expense, any excavation that shall be made by it and shall leave, in all material aspects, all Right-of-Way and other property in as good condition as that prevailing prior to Company's removal of the System from Right-of-Way of City and without affecting, altering or disturbing in any way any electric, telephone or other cables, wires, structures or attachments; (c) City shall have the right to inspect and approve the condition of such Right-of-Way after removal and, to the extent that City determines that said Right-of-Way and other property have not been left in materially as good condition, as that prevailing prior to Company's removal of the System, Company shall be liable to City for the cost of restoring the Right-of-Way and other property to said condition; (d) The Performance Bond/Security Fund, liability insurance and indemnity provisions of this Agreement shall remain in full force and effect during the entire period of removal and associated repair of all Right-of-Way of City, and for not less than one hundred twenty (120) days thereafter; and (e) Removal shall be commenced within thirty (30) days of the removal order by City and shall be substantially completed within twelve (12) months thereafter including all reasonably associated repair of the Right-of-Way of City.
Discretion of City. Owner understands and agrees that the City reserves the right to exercise its discretion as to all matters in which the City is by law entitled or required to exercise its discretion with respect to the Entitlements, including but not limited to the California Environmental Quality Act and other similar laws. In addition, the Entitlements shall be subject to and brought to City Council for consideration in accordance with applicable legal requirements, including laws related to notice, public hearings and due process. In addition, nothing herein shall be construed as to restrict the City's ability to exercise its discretion as provided by the City's Growth Management Program or to condition the Project in the manner City determines appropriate in accordance with its general police powers.
Discretion of City. Depositor understands that formation of the District shall be in the sole discretion of City. No provision of this Agreement shall be construed as a promise, warranty or agreement by City to form the District. Except as set forth in Section 2.3, City shall have no liability to Depositor pursuant to this Agreement for its decision not to form the District.

  • Judicial Review Any determination made by NYSERDA pursuant to this Exhibit that prevents the commencement of the time in which interest will be paid is subject to judicial review in a proceeding pursuant to Article 78 of the Civil Practice Law and Rules. Such proceedings shall only be commenced upon completion of the review procedure specified in Section 504.9 of this Exhibit or any other review procedure that may be specified in this Agreement or by other law, rule, or regulation.

  • BANK’S DISCRETION Notwithstanding and without prejudice to any other terms and conditions herein, the Bank shall be entitled at any time, in its reasonable discretion and with reasonable notice, to amend, vary, withdraw, restrict, suspend or terminate all or any of the facilities in respect of or in relation to the TBS Access Code and/or the TBS.   • Limitation of responsibility of Existing Lenders (a) Unless expressly agreed to the contrary, an Existing Lender makes no representation or warranty and assumes no responsibility to a New Lender for: (i) the legality, validity, effectiveness, adequacy or enforceability of the Finance Documents or any other documents; (ii) the financial condition of any Obligor; (iii) the performance and observance by any Obligor of its obligations under the Finance Documents or any other documents; or (iv) the accuracy of any statements (whether written or oral) made in or in connection with any Finance Document or any other document, and any representations or warranties implied by law are excluded. (b) Each New Lender confirms to the Existing Lender and the other Finance Parties that it: (i) has made (and shall continue to make) its own independent investigation and assessment of the financial condition and affairs of each Obligor and its related entities in connection with its participation in this Agreement and has not relied exclusively on any information provided to it by the Existing Lender in connection with any Finance Document; and (ii) will continue to make its own independent appraisal of the creditworthiness of each Obligor and its related entities whilst any amount is or may be outstanding under the Finance Documents or any Commitment is in force. (c) Nothing in any Finance Document obliges an Existing Lender to: (i) accept a re-transfer from a New Lender of any of the rights and obligations assigned or transferred under this Clause 24; or (ii) support any losses directly or indirectly incurred by the New Lender by reason of the non-performance by any Obligor of its obligations under the Finance Documents or otherwise.
