Notice of Proposed Transfer; Owner's Option. If Manager desires to enter into any assignment of this Agreement for other than the Primary Purpose or an Ancillary Event, Manager will first give Owner written notice of the proposed assignment, which notice will contain the name and address of the proposed transferee, the proposed use of the Premises, statements reflecting the proposed transferee's current financial condition and income and expenses for the past 2 years, and the principal terms of the proposed assignment. Within thirty (30) days after Owner receives such request and all of the above required information Owner shall either: (i) consent in writing to the requested assignment, which consent may be conditional upon certain terms or conditions being agreed to or satisfied by either Manager or the proposed assignee; (ii) advise Manager that Owner will not consent to such requested assignment; or (iii) terminate this Agreement as follows: (a) if the request is for an assignment of all the Premises, cancel and terminate the entire Agreement; or (b) if such request is to sublet a portion of the Premises only, cancel and terminate this Agreement with respect to such portion. If Owner exercises its right to cancel hereunder, the effective date of such cancellation shall be set forth in Owner's notice to Manager, but such date shall not be earlier than the effective date of the proposed assignment or later than ninety (90) days thereafter, and Manager shall continue to pay to Owner all Monthly Ticket Tax and other charges as herein otherwise provided, until the effective date of such cancellation, on which date Manager shall surrender to Owner possession of the Premises or the portion thereof subject to such cancellation. If this Agreement shall be canceled as to a portion of the Premises only, then Manager's obligations to pay charges as herein otherwise provided, shall be abated proportionately from and after the effective date of such cancellation, and Manager shall pay to Owner all costs incurred to construct an appropriate demising wall separating the canceled portion of the Premises from the remainder of the Premises.

  • Transfer Cancellation Requests and Refused Transfers You may cancel a transfer at any time until it begins processing (as shown in the Service).
