Notice of Violation of Applicable Laws. Upon obtaining knowledge thereof, the Company shall provide notification to the appropriate Governmental Authority as required by applicable permits and shall immediately notify the Village in writing of any violation of any Applicable Law and shall advise the Village as to any potential violation of any new Applicable Law, and, in either case, the Company shall advise the Village of the steps required to cure such violation or future violation, including whether or not such violation or such Applicable Law, or the application thereof to the Wastewater Facilities of the Village, should be contested. Unless the Village shall elect in writing to contest such violation or Applicable Law, the Company shall, at its sole cost and expense, take such steps as are necessary to promptly correct such violation or as are otherwise required to comply with Applicable Law. If an election is made to contest any Applicable Law or violation thereof, each party shall assist the other in such contest.

  • Compliance with Applicable Laws Any and all requirements of any federal, state or local law including, without limitation, usury, truth-in-lending, real estate settlement procedures, consumer credit protection, equal credit opportunity, disclosure and all predatory and abusive lending laws applicable to the Mortgage Loan, including, without limitation, any provisions relating to prepayment penalties, have been complied with, the consummation of the transactions contemplated hereby will not involve the violation of any such laws or regulations, and the Seller shall maintain in its possession, available for the Purchaser's inspection, and shall deliver to the Purchaser upon demand, evidence of compliance with all such requirements;

  • Compliance with all Applicable Laws and Regulations Grantee must comply with all applicable federal, state and local laws, rules, regulations, and ordinances in administering CRF under this Agreement.
