Notice to TCEQ. The Districts acknowledges that 30 TAC Chapter 210 requires that the City notify the Executive Director of the TCEQ in writing within five (5) days of obtaining knowledge of Reclaimed Water use not authorized by the Executive Director’s Reclaimed Water use approval. 1. Operation and Maintenance Plan (30 TAC § 210.4(a)(4). A. The Districts (sometimes referred to herein as “User”) shall operate and maintain the Districts’ System, as hereinafter defined, in accordance with all Regulatory Requirements, including Chapter 26 of the Texas Water Code and 30 TAC Chapter 210 and with prudent industry practices and manufacturers’ recommendation. B. The Districts shall designate an individual as Districts’ Reclaimed Water Supervisor. The Districts agree that the Reclaimed Water Supervisor shall be responsible for the proper operation of Districts’ Reclaimed Water System downstream of the Districts’ Facility Delivery Point(s) (the “Districts’ System”), implementing the requirements of this Agreement, monitoring Districts’ System for prevention of potential hazards, and coordinating with the City. It shall be the non- delegable duty of the Districts to assure its Reclaimed Water Supervisor is trained in the use and handling of Reclaimed Water in accordance with all applicable regulations and laws. 2. The Districts acknowledge and agree that numerous provisions of the presently applicable Regulatory Requirements for use of Reclaimed Water for various intended uses apply to Districts. The Districts, as a User, shall comply with all applicable Regulatory Requirements and any amendments thereto.

  • Notice to NASD In the event any person or entity (regardless of any NASD affiliation or association) is engaged to assist the Company in its search for a merger candidate or to provide any other merger and acquisition services, the Company will provide the following to the NASD and EBC prior to the consummation of the Business Combination: (i) complete details of all services and copies of agreements governing such services; and (ii) justification as to why the person or entity providing the merger and acquisition services should not be considered an "underwriter and related person" with respect to the Company's initial public offering, as such term is defined in Rule 2710 of the NASD's Conduct Rules. The Company also agrees that proper disclosure of such arrangement or potential arrangement will be made in the proxy statement which the Company will file for purposes of soliciting stockholder approval for the Business Combination.

  • Notice to FINRA For a period of ninety (90) days after the date of the Prospectus, in the event any person or entity (regardless of any FINRA affiliation or association) is engaged, in writing, to assist the Company in its search for a Target Business or to provide any other services in connection therewith, the Company will provide the following to FINRA and the Representative prior to the consummation of the Business Combination: (i) complete details of all services and copies of agreements governing such services; and (ii) justification as to why the person or entity providing the merger and acquisition services should not be considered an “underwriter and related person” with respect to the Offering, as such term is defined in Rule 5110 of the FINRA Manual. The Company also agrees that, if required by law, proper disclosure of such arrangement or potential arrangement will be made in the tender offer documents or proxy statement which the Company will file with the Commission in connection with the Business Combination.

  • Notice to Union Two (2) copies of all postings shall be sent to the Local of the Union within the aforementioned seven (7) calendar days.

  • Notice to Tenants Seller and Purchaser shall each execute, and Purchaser shall deliver to each tenant immediately after the Closing, a notice regarding the sale in substantially the form of Exhibit D attached hereto, or such other form as may be required by applicable state law.
