Notification and Assistance. The BIOMEDIT NODES shall promptly inform, and cooperate with, the PRINCIPALS if they believe that they may no longer be able, or are no longer able, to comply with this DTPA, particularly in case they receive or must reasonably expect to receive a request or order of a competent authority requiring them to disclose, or refrain from further processing, some or all personal DATA to which this DTPA applies.

Notification and Assistance. Vendor will cooperate with USAC in any litigation and investigation deemed necessary by USAC to protect USAC Data, other USAC Confidential Information and/or PII. Each Party will bear the costs it incurs as a result of compliance with this Section.
Notification and Assistance. We will notify You immediately if We:
(a) receive a Data Subject Access Request (as defined in the Data Protection Legislation); (b) receive a request to rectify, block or erase any of Your Personal Data; (c) receive any other request, complaint or communication relating to either party's obligations under the Data Protection Legislation; (d) receive any communication from any regulatory authority in connection with Personal Data processed under the Agreement; (e) receive a request from any third party for disclosure of Personal Data where compliance with such request is required or purported to be required by Applicable Law; or (f) become aware of any loss of Personal Data. Taking into account the nature of the processing, We will provide You with full assistance in relation to either party's obligations under the Data Protection Legislation and any complaint, communication or request made under clause 5.7 (and insofar as possible within the timescales reasonably required by You) by promptly providing: full details and copies of the complaint, communication or request assistance as requested by You following any event causing a loss of Personal Data and assistance as requested by You with respect to any request from the supervisory body in the applicable jurisdiction from time to time.
Notification and Assistance. Agent undertakes to promptly notify MOTIVA of any act of unfair competition, illegal trade practices or piracy, or infringement of intellectual property rights relating to the Products that the Agent may discover. The Agent shall not take any action with regard to such acts without the prior written consent of MOTIVA, but shall reasonably assist MOTIVA in any actions if and when requested by MOTIVA.

Notification and Assistance. Neither party (the “Indemnifying Party”) shall have any obligation under this Section 15.b. unless the other party (the “Indemnified Party”) (i) notifies the Indemnifying Party promptly upon receiving or learning of any claim or action pursuant to which indemnity will be sought; (ii) provides reasonable assistance to the Indemnifying Party, at the Indemnifying Party’s expense, in the defense of any such action; and (iii) gives the Indemnifying Party sole control over the defense and/or settlement of the claim or action.

The indemnification provisions provided in Sections 8.1 and 8.2 shall be contingent on the indemnified Party promptly notifying the indemnifying Party upon learning of an indemnifiable claim, demand or cause of action, and providing the indemnifying Party with such assistance as reasonably requested by the indemnifying Party in defending against such claim, demand or cause of action.

Notification and Assistance. The Receiving Party must notify the Forticode Group in writing upon being aware of any suspected or actual breach of these Terms and must use its reasonable endeavors to prevent or stop the breach and to minimise the detriment to each member of the Forticode Group caused by the breach.
