Notifications and Correspondence. All correspondence between the Parties will be made through the e-mail addresses of the Parties to each other in writing. The Parties declare, accept and undertake that the notifications made through e-mail addresses in writing will bind the Parties and be considered valid legal notifications unless they notify the changes in their addresses in writing.

Notifications and Correspondence. These General Terms and Conditions and the other documents forming the framework agreement between Moneytrans and the client are available in French, English and Dutch. Moneytrans undertakes to communicate and correspond with the client in one of these languages, as chosen by the client when opening the account or notified subsequently. Moneytrans may exchange notifications with its clients by any means of communication deemed appropriate to the relationship, including by: email, ordinary or registered mail, SMS, phone, annexes to the account statements or by way of posting general messages on its website. Except in the case of contradictory provisions, notifications are sent by ordinary mail only at the express request and at the sole risk of the client. Fees may apply to documents sent by post, as notified in accordance with the Article 17. In any case, notices are deemed to be validly delivered if sent to the legal address of residence of the client or to the email address and/or mobile phone number communicated to Moneytrans and recorded in the client’s file. Moneytrans thus declines all liability for any loss or damage resulting from a client’s failure to notify changes in his contact details in a timely manner, unless the client can prove fraud or gross negligence on the part of the employees or agents of Moneytrans when recording his identification data.

(d) Each of Buyer and the Merger Sub, on the one hand, and the Company on the other hand, shall, in connection with the efforts referenced in Section 6.5(a) to obtain all requisite permits, authorizations, consents, orders and approvals for the transactions contemplated by this Agreement, use its reasonable best efforts to (i) cooperate in all respects with each other in connection with any filing or submission and in connection with any investigation or other inquiry, (ii) keep the other party reasonably informed of the status of matters related to the transactions contemplated by this Agreement, including furnishing the other with any written notices or other communications received by such party from, or given by such party to, any Governmental Authority and (iii) permit the other party to review any communications given by it to, and consult with each other in advance of any meeting or conference with, any Governmental Authority; provided that nothing will prevent a party from responding to or complying with a subpoena or other legal process required by Law or submitting factual information in response to a request therefor.

  • Communications and Notices Any notice to the Contractor shall be deemed sufficient when deposited in the United States Mail postage prepaid; faxed; e-mailed; delivered to a telegraph office fee prepaid; or hand-carried and presented to an authorized employee of the Contractor at the Contractor’s address as listed on the signature page of the contract or at such address as the contractor may have requested in writing.
