Novations. The Company, the applicable subsidiary or the prior owner of a property of the Company has obtained, requested or is preparing to request all necessary novations required for the United States to recognize the applicable subsidiary as the successor in interest to the relevant prior owner of each property of the Company to the lessor’s interest under all leases with the General Services Administration or other Federal agencies relating to such property.
Novations. Pledgor shall use its best efforts to seek novations of all of the Obligations such that Pledgor is the obligor of record with respect to all of the Obligations. Notwithstanding anything herein or in the Merger Agreement to the contrary and for the avoidance of doubt, upon and following the Assignment, Pledgor shall be the primary obligor with respect to all of the Obligations.
Novations. In the event any Governmental Entity requires Government Contract Novations, Seller and Seller's Parent shall cooperate with the PRC Companies to promptly obtain such Government Contract Novations and shall execute the novation agreements required by any Governmental Entity.
Novations. The Company, the Subsidiary, HRPT or a subsidiary of HRPT has requested or is preparing to request all necessary novations required for the United States to recognize the Subsidiary as the successor in interest to HRPT or a subsidiary of HRPT, as the case may be, to the lessor’s interest under all leases with the General Services Administration relating to each Initial Property.
Novations. As soon as reasonably practicable after the Closing Time, the Company will use all commercially reasonable efforts to obtain all necessary novations required for the United States to recognize the Subsidiary as the successor in interest to HRPT or a subsidiary of HRPT, as the case may be, to the lessor’s interest under all leases with the General Services Administration relating to each Initial Property.
Novations. Both prior to and following the Closing Date, each Party shall use its commercially reasonable efforts to provide all information and take all other actions reasonably requested by the other Party in connection with requests to the U.S. Government for the execution of novation agreements, to the extent required by the FAR or otherwise requested by the applicable U.S. Government agency in connection with the assignment of a Government Contract pursuant to this Agreement, the change of control of any Acquired Entity, or the transactions contemplated by Section 2.4. The Parties shall respond to any requests for information by the U.S. Government with respect to such novation agreements so that the Parties, or their applicable Affiliates, may enter into and complete the novation agreements as soon as reasonably practicable following the Closing Date.
Novations. Seller agrees to use reasonable efforts to obtain contract novations or consents to assignment as necessary, for all Contracts requiring Novation or Consent to Assignment prior to or as soon as practicable after the Time of Closing.
Novations. The Company shall provide such reasonable assistance as Buyer may request for Buyer and the Surviving Corporation to obtain, secure and effect any novation of a Government Contracts that may be requested by a governmental entity and to effect all filings in connection therewith.
Novations. Seller agrees to use its commercially reasonable efforts to obtain any novation required in connection with any of the Contracts listed on Schedule 3.13(c) within 90 days of the Closing Date and agrees pending the obtaining of such novations to take all commercially reasonable action necessary to assure the receipt by Buyer of all benefits accruing under those Contracts from and after Closing.
Novations. Seller shall use its commercially reasonable best efforts to effectuate any Novations (as defined in Section 6.8) as soon as reasonably practicable following the Closing Date.
