Obligation to Protect Clause Samples
The 'Obligation to protect' clause requires one party to take reasonable measures to safeguard certain interests, assets, or information belonging to the other party. In practice, this may involve maintaining confidentiality of sensitive data, securing physical property, or ensuring that proprietary information is not disclosed to unauthorized individuals. Obligation to Protect. Distributor agrees to use reasonable efforts to protect Company's proprietary rights and to cooperate at Distributor's expense in Company's efforts to protect its proprietary rights. Distributor agrees to promptly notify Company of any known or suspected breach of Company's proprietary rights that comes to Distributor's attention.
Obligation to Protect. Partner agrees to use best efforts to protect Broadbase's proprietary rights and to cooperate in Broadbase's efforts to protect its proprietary rights. Partner agrees to promptly notify Broadbase of any known or suspected breach of any such proprietary right that comes to Partner's attention.
Obligation to Protect. Each party will protect the other’s Confidential Information using the same standard of care that it would use to protect its own, similar information, but in any case no less than a reasonable standard of care for information of similar sensitivity.
Obligation to Protect. Each of the Parties shall take such steps as are reasonably required (including without limitation such steps as such Party takes to protect its own proprietary information) to protect confidential and/or proprietary information ("Confidential Information") supplied or revealed to it by the other Party pursuant to this Agreement, and shall not, directly or indirectly, disclose to any third party or use such information except pursuant to this Agreement. Brightmail agrees to notify Symantec of any known or suspected breach of Symantec’s proprietary rights that comes to Brightmail’s attention.
Obligation to Protect. Reseller agrees to use reasonable efforts to protect Empirix’s intellectual property or other proprietary rights and to cooperate, at Reseller’s expense, in Empirix’s efforts to protect such intellectual property or other proprietary rights. Reseller agrees to promptly notify Empirix of any known or suspected breach of Empirix’s intellectual property or other proprietary rights that comes to Reseller’s attention.
Obligation to Protect. ADC agrees to use reasonable efforts to protect INTERWAVE's proprietary marks and to cooperate in INTERWAVE' efforts to protect its proprietary rights.
Obligation to Protect. ASP Partner agrees to promptly notify Broadbase of any known or suspected breach of Broadbase's proprietary rights that comes to its attention. ASP Partner agrees to cooperate at Broadbase's expense in Broadbase's efforts to protect its proprietary rights.
Obligation to Protect. Distributor shall use reasonable efforts to protect NutraCea’s proprietary rights and, at its own expense, shall reasonably cooperate in NutraCea’s efforts to protect its proprietary rights. Distributor shall notify NutraCea of any known or suspected breach of NutraCea’s proprietary rights that comes to Distributor’s attention.
Obligation to Protect. During the Operation Period the Company shall use care and diligence consistent with the Operating Standards to protect the Wastewater System from damage or destruction.
