Obligations Deemed Paid. All Outstanding Obligations shall prior to the Stated Maturity or redemption date thereof be deemed to have been paid within the meaning and with the effect expressed in Section 11.2 if (i) in case any such Obligations are to be redeemed on any date prior to their Stated Maturity, the Trustee shall have given notice of redemption on said date as provided herein, (ii) there shall have been deposited with the Trustee either moneys in an amount which shall be sufficient, or Defeasance Securities the principal of and the interest on which when due will provide moneys which, together with any moneys deposited with the Trustee at the same time, shall be sufficient to pay when due Debt Service to become due on such Obligations on and prior to the redemption date or maturity date thereof, as the case may be, (iii) the Trustee shall have received a report by an independent certified public accountant selected by the Tenant verifying the sufficiency of the moneys or Defeasance Securities deposited with the Trustee to pay when due Debt Service to become due on such Obligations on and prior to the redemption date or maturity date thereof, as the case may be, and (iv) if the Obligations are then rated by a Rating Agency, the Trustee shall have received written confirmation from each Rating Agency then rating the Obligations that such deposit will not result in the reduction or withdrawal of the rating on such Obligations. Neither Defeasance Securities nor moneys deposited with the Trustee pursuant to this Section nor principal or interest payments on any such Defeasance Securities shall be withdrawn or used for any purpose other than, and shall be held in trust for, the payment of Debt Service of such Obligations. Any cash received from such principal of and interest on such Defeasance Securities deposited with the Trustee, if not then needed for such purpose, shall, be reinvested in Defeasance Securities as directed by the Tenant maturing at times and in amounts sufficient to pay when due Debt Service on such Obligations on and prior to such redemption date or maturity date thereof, as the case may be, and interest earned from such reinvestments shall, to the extent permitted by the opinion described in the preceding sentence, be paid over to the Tenant, as received by the Trustee, free and clear of any trust, lien or pledge.
