Offshore Locations. Buyer approves of the use of the following offshore locations for Supplier services or resources set forth in the Master Statement of Work or Statement of Work. Complete each column for each offshore location.

Offshore Locations. Except as specifically authorized in the applicable Engagement Schedule, the Services shall be provided from Service Provider Service Locations located in the United States and Service Provider shall ensure that Prudential Data is not accessed from any location outside of the United States. If an Engagement Schedule authorizes the Services to be provided from Service Provider Service Locations located outside of the United States, Service Provider shall ensure that any access to Prudential Data by any Service Provider Service Location located outside of the United States of America (each, an "Offshore Location") is indirect only through remote access to Service Provider Service Locations located within the United States of America, and that no Prudential Data can or will be stored or copied at any Offshore Location, either through process or technical controls. The additional requirements set forth in the applicable Engagement Schedule (if any) shall apply to all Offshore Locations.
Offshore Locations. Clearwire acknowledges that the pricing for Services set forth herein contemplates that certain types and volumes of Services are planned to be performed outside the United States of America, and that, subject to the process described in Section 2.6.3 below, Supplier has the unrestricted right to conduct applicable Services at non-US locations. Supplier will keep Clearwire reasonably informed as to the status of Supplier’s activities related to the Services being performed in non-US locations and the related resources being used. In all events, Ericsson will carry out the [*****] Confidential — Subject to Nondisclosure Obligations activities necessary to move Services to off-shore locations so as to minimize, to the maximum extent reasonably achievable, any adverse material effect upon Clearwire, Clearwire systems, and upon the quality or continuity of the Services.

  • Business Locations Set forth on Schedule 6.20(a) is a list of all Real Properties located in the United States that are owned or leased by the Loan Parties as of the Closing Date. Set forth on Schedule 6.20(b) is a list of all locations where any tangible personal property of a Loan Party is located as of the Closing Date. Set forth on Schedule 6.20(c) is the chief executive office, jurisdiction of incorporation or formation and principal place of business of each Loan Party as of the Closing Date.

  • Other Locations Except in the event of an emergency or of a planned System shutdown, the Fund’s access to services performed by the System or to Data Access Services at the Designated Locations may be transferred to a different location only upon the prior written consent of State Street. In the event of an emergency or System shutdown, the Fund may use any back-up site included in the Designated Configuration or any other back-up site agreed to by State Street, which agreement will not be unreasonably withheld. The Fund may secure from State Street the right to access the System or the Data Access Services through computer and telecommunications facilities or devices complying with the Designated Configuration at additional locations only upon the prior written consent of State Street and on terms to be mutually agreed upon by the parties.

  • Office Location During the Term, the Executive's services hereunder shall be performed at the offices of the Company, which shall be within a twenty five (25) mile radius of New York, NY, subject to necessary travel requirements to the Company’s offices in Toronto, Canada and other MDC Group company locations in order to carry out his duties in connection with his position hereunder.

  • Service Locations X.X. Xxxxxx maintains various operational/service centers and locations through the United States and foreign jurisdictions. The services provided under this Agreement may be provided from one or more such locations. X.X. Xxxxxx may change the operational/service centers and locations as it deems necessary or appropriate for its business concerns.

  • Place of Business; Location of Collateral The address set forth in the heading to this Agreement is Borrower's chief executive office. In addition, Borrower has places of business and Collateral is located only at the locations set forth on the Schedule. Borrower will give Silicon at least 30 days prior written notice before opening any additional place of business, changing its chief executive office, or moving any of the Collateral to a location other than Borrower's Address or one of the locations set forth on the Schedule.

  • Access to Work Locations Reasonable access to employee work locations shall be granted officers of the Association and their officially designated representatives for the purpose of processing grievances or contacting members of the Association concerning business within the scope of representation. Such officers or representatives shall not enter any work location without the consent of the City Manager. Access shall be restricted so as not to interfere with the normal operations of the department or with established safety or security requirements. Solicitation of membership and activities concerned with the internal management of the Association, such as collecting dues, holding membership meetings, campaigning for office, conducting elections and distributing literature, shall not be conducted during working hours.

  • Current Locations The chief executive office of each Company is located at the address set forth in Schedule 2 hereto.

  • Collateral Locations All of such Grantor’s locations where Collateral is located are listed on Exhibit A. All of said locations are owned by such Grantor except for locations (i) which are leased by the Grantor as lessee and designated in Part VII(b) of Exhibit A and (ii) at which Inventory is held in a public warehouse or is otherwise held by a bailee or on consignment as designated in Part VII(c) of Exhibit A.

  • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. The CONTRACTOR will permit its personnel and contractors to access COUNTY data remotely only as required to provide technical support. (Remote access to data from outside the continental United States is prohibited unless approved in advance and in writing by the County.) 1.2. The CONTRACTOR must notify the COUNTY in advance and in writing of any location changes to CONTRACTOR’s data center(s) that will process or store County data.
