Omnibus Trades. In the event you provide any services with respect to Fund Shares held or owned by or for the benefit of your customers where you place trades with respect to Fund Shares on an omnibus basis rather than on an individual, fully disclosed basis, then you must enter into a Third Party Administration Service Agreement with the relevant Company, in such form as you and the relevant Company agree, in addition to the terms and provisions of this Agreement. Unless you have entered into an agreement covering such matter with the relevant Company, by placing any order for purchase or redemption of Fund Shares hereunder on an omnibus basis, you will be deemed to have agreed to be bound by and comply with the terms and provisions of the Third Party Administration Service Agreement in the form annexed hereto as Appendix C, and the relevant Company, by its signature thereon, agrees likewise to be so bound.

  • Omnibus Shares Omnibus Shares of a Fund outstanding on any date shall be attributed to the Distributor or a Successor Distributor, as the case may be, in the same proportion that the Non-Omnibus Commission Shares of the applicable Fund outstanding on such date are attributed to it on such date; provided that if the Distributor reasonably determines that the transfer agent is able to produce monthly reports that track the Date of Original Issuance for the Omnibus Shares, then the Omnibus Shares shall be allocated pursuant to clause 1(a), (b) and (c) above.

  • Omnibus Signature Page This Agreement is intended to be read and construed in conjunction with the Registration Rights Agreement.
