Common use of OMNOVA MEDICAL PLAN Clause in Contracts

OMNOVA MEDICAL PLAN. As of the Closing Time, OMNOVA Employees (and their eligible dependent(s)) shall be covered by the OMNOVA Medical Plan, which shall be substantially identical to the medical plan coverage provided to OMNOVA Employees immediately prior to the Closing Time. The OMNOVA Medical Plan made available to OMNOVA Employees and their dependent(s) as of the Closing Time shall waive any applicable waiting periods for coverage of OMNOVA Employees and their dependent(s) which did not exist with respect to such OMNOVA Employee or dependent(s) immediately prior to the Closing Time. The OMNOVA Medical Plan shall not contain any exclusion or limitation with respect to any pre-existing condition of any OMNOVA Employee or dependent(s) which did not apply with respect to such OMNOVA Employee or dependent immediately prior to the Closing Time. For purposes of the two preceding sentences, service with GenCorp and OMNOVA prior to the Closing Time shall be taken into account for purposes of meeting any such waiting period or pre-existing condition, exclusion or limitation.
