On-Going Obligations. If you breach any term of this Agreement or Section 9 of your Employment Agreement, the Company shall be entitled to its available legal and equitable remedies, including but not limited to suspending and recovering any and all payments and benefits made or to be made under Section 2 of this Agreement and payment by you of its attorneys’ fees and costs. If the Company seeks and/or obtains relief from an alleged breach of this Agreement, all of the provisions of this Agreement shall remain in full force and effect.
On-Going Obligations. You acknowledge and reaffirm your obligation to keep confidential and not to disclose any and all Proprietary Information (as defined in the Agreement) concerning the Company which you acquired during the course of your employment with the Company, including, but not limited to, any non-public information concerning the Company’s business affairs, business prospects and financial condition. You further acknowledge and reaffirm your obligations under the Agreement for the benefit of the Company.
On-Going Obligations. You are hereby reminded of your on-going obligations to MakeMusic under Articles IV, V and VI of your Employment Agreement. You acknowledge and agree that if you violate Article IV, V and/or VI of your Employment Agreement, MakeMusic shall be entitled to all available legal and equitable remedies, including but not limited to suspending and recovering any and all payments made or to be made under Section 2 of this Agreement.
On-Going Obligations. Termination shall be subject to the on-going obligations of each of the Parties pursuant to Section 10.5. Immediately upon receipt of a notice of termination, Site shall cease recruitment of Subjects into the Study and cease conducting procedures as directed by XXXX and to the extent medically permissible.
On-Going Obligations. You are hereby reminded of your on-going obligations to MakeMusic under Articles IV, V and VI of your Employment Agreement with MakeMusic. You acknowledge and agree that if you violate Article IV, V or VI of your Employment Agreement, MakeMusic shall be entitled to all available legal and equitable remedies, including but not limited to suspending and recovering any and all payments and benefits made or to be made under Section 2 of this Separation Agreement. The parties agree that you are free to provide letters of reference for MakeMusic employees who request such a letter in your individual capacity and not on behalf of MakeMusic. The parties further agree that you are free to solicit former employees of MakeMusic, as long as you did not solicit or encourage those employees to leave MakeMusic.
On-Going Obligations. 48.1. The termination of the Agreement shall be without prejudice to the rights of either party accrued in respect of the other party’s acts or omissions prior to termination.
48.2. The following continue in force after the termination of the Agreement:
a) clause 22 (other public funding), where You have received (and not repaid with interest) any payment of the EDR Payment;
b) clause 23.1 (compliance with laws and regulatory requirements);
c) clause 24 (record keeping), relating to records for the period before the termination;
d) clause 25 (provision of information and evidence);
e) clause 26 (inspection of Sites), so far as necessary to investigate any grounds for repayment of the EDR Payment or wrongdoing;
f) clause 27.5 (metering to evaluate deemed savings);
g) clause 29.1 (on-going duty to notify), but clause 29.
On-Going Obligations. Sections 13 and 13A shall be considered further on-going obligations for purposes of Sections 6.2, 6.3 and 6.6.
On-Going Obligations. The Assignor would be liable to the Landlord for all Base Rent, Additional Rent, Operating Costs, Real Estate Taxes, and any other fees which are due under the Lease based on the Assignor’s occupancy prior to the Effective Date.
On-Going Obligations. Upon termination of this Agreement, no parties shall have any further obligation pursuant to the terms of this Agreement except for (i) obligations occurring prior to the date of termination, and (ii) obligations, promises, or covenants contained herein which are expressly made to extend beyond the term of this Agreement.
On-Going Obligations. At all times after Closing ArcMail shall continue to be responsible for the timely payment of all costs and expenses related to (i) maintaining its corporate existence; (ii) preparation of financial statements in accordance with Section 4.5, below; and, (iii) ArcMail’s office facilities.
