Opinion of Canadian Counsel for the Underwriters. The Representatives shall have received on and as of the Closing Date an opinion, addressed to the Underwriters, of Goodmans LLP, Canadian counsel for the Underwriters, with respect to such matters as the Representatives may reasonably request, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.
Opinion of Canadian Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date the Representative shall have received the opinion of XxXxxxxx Xxxxxxxx LLP, Canadian counsel for the Underwriters, in form and substance satisfactory to the Underwriters, dated as of such Closing Date.
Opinion of Canadian Counsel for the Underwriters. The Underwriters shall have received an opinion, dated as of the Closing Date, of Osler, Hoskin & Harcourt LLP, Canadian counsel for the Xxxxrwxxxxxx, in form and substance satisfactory to the Representative.
Opinion of Canadian Counsel for the Underwriters. At the Closing Time, the Representatives shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxx Xxxxx LLP, Canadian counsel for the Underwriters. In giving such opinion such counsel may rely, as to certain matters relating to the Company, upon the opinion of Blake, Xxxxxxx & Xxxxxxx LLP and, as to all other matters governed by the laws of Qualifying Provinces other than the Province of Alberta and the federal laws of Canada, upon the opinions of counsel satisfactory to the Representatives. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.
Opinion of Canadian Counsel for the Underwriters. On the Closing Date, the Underwriters shall have received the favorable opinion of Stikeman Elliott (NY) LLP, Canadian counsel for the Underwriters, dated as of such Closing Date, in form and substance satisfactory to, and addressed to, the Underwriters, with respect to the issuance and sale of the Notes, the Registration Statement, the Canadian Final Prospectus (together with any supplement thereto), the Disclosure Package and other related matters as the Representatives may reasonably require.
Opinion of Canadian Counsel for the Underwriters. The favorable opinion of Bxxxxxx Xxxxx LLP, counsel for the Underwriters, dated such Date of Delivery, relating to the Over-Allotment Shares to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 6(h) hereof.
