Opinion of Local Counsel for Company. At the Closing Time, the Representatives shall have received the opinion, dated the Closing Time, of Xxxxxxx-Xxxxxxxx Korsø Xxxxxx LLP, local counsel for the Company, in form and substance satisfactory to counsel for the Underwriters.
Opinion of Local Counsel for Company. If requested by the Representatives, the opinion of Xxxxxxx-Xxxxxxxx Korsø Xxxxxx LLP, local counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of Local Counsel for Company. At Closing Time, the Representative shall have received the opinions, dated as of Closing Time, of Xxxxxxx & Xxxxx LLP, special Wisconsin counsel to the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the Underwriters, to the effect set forth in Exhibit B hereto, and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of Local Counsel for Company. At each Time of Delivery, the Lead Representatives shall have received the written opinion, dated as of such Time of Delivery, of each of (i) Cxxxxxx Dxxx & Pxxxxxx, special Bermuda counsel for the Company, in the form attached as Exhibit C-1 hereto, and (ii) Kxxxxxx Xxxxxxx, special U.K. counsel for the Company, in the form attached as Exhibit C-2 hereto.
Opinion of Local Counsel for Company. At the Closing Time, the Representatives shall have received an opinion, dated the Closing Time, of Xxxxxx Xxxxxxx LLP, counsel for the Company, in form and substance satisfactory to counsel for the Initial Purchasers, together with signed or reproduced copies of such letter for each of the other Initial Purchasers to the effect set forth in Exhibit A - 2 hereto. In giving such opinion, such counsel may rely, as to all matters governed by the laws of jurisdictions other than the law of the State of Connecticut and the federal securities laws of the United States, upon the opinions of counsel satisfactory to the Representatives.
Opinion of Local Counsel for Company. The Representative shall have received the written opinion, dated the Time of Delivery, of Xxxxxxx, special Bermuda counsel for the Company, in the form attached as Exhibit B hereto.
Opinion of Local Counsel for Company. The favorable opinion of each of the Local Counsel named in Section 5(c), each in form and substance satisfactory to the counsel for the Underwriters and dated such Option Closing Date, relating to the Option Securities to be purchased on such Option Closing Date and otherwise to the same effect as the respective opinions required by Section 5(c) hereof.
