Opinion of United States Counsel for the Initial Purchasers. At the Closing Time, the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Time, of Shearman & Sterling, counsel for the Initial Purchasers, with respect to certain of the matters set forth in Exhibit D hereto and to such other effect as the Initial Purchasers and such counsel may reasonably agree.

Opinion of United States Counsel for the Initial Purchasers. At the Closing Time, the Representatives shall have received the opinion, dated as of the Closing Time, of Xxxxxx & Xxxxxxx LLP, United States counsel for the Initial Purchasers, in form and substance satisfactory to the Initial Purchasers. In rendering such opinion, such counsel may (i) state that their opinion is limited to matters governed by the federal laws of the United States, the laws of the State of New York and the General Corporation Law of the State of Delaware and rely as to all matters governed by the laws of the Republic of Singapore upon the opinion of Xxxxx & Xxxxxxxx referred to in subsection (c) of this Section 5 and (ii) rely as to matters of fact, to the extent they deem proper, upon certificates of officers of the Company and its Subsidiaries and certificates of public officials.
