Opinions of Counsel and 10b-5 Statement. (1) Xxxxxxxx, Lipton, Xxxxx & Xxxx, counsel for the Company, shall have furnished to the Representatives, at the request of the Company, their written opinion and 10b-5 statement and (2) Xxxx X. Xxxxx, Executive Vice President and Chief Legal, Risk and Regulatory Officer of the Company, shall have furnished to the Underwriters his written opinion, in each case dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
