The favorable opinions of counsel for the Fund, substantially in the form set forth in Exhibit A hereto, of the Investment Adviser, substantially in the form set forth in Exhibit B hereto and of the Sub-Adviser, substantially in the form set forth in Exhibit C hereto, each dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(b) hereof.

At Closing Time, the Representative shall have received the favorable opinions, dated as of Closing Time, of Xxxxxxxxxxx and Xxxxxxxx LLP, counsel for the Fund and of Xxxxxxx Xxxx & Xxxxxxxxx, counsel to the Advisers, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letters for each of the other Underwriters as to the matters set forth in EXHIBIT A and EXHIBIT B hereto.

Xxxxxxxxx, Managing Director and General Counsel to the Subadviser, each in form and substance satisfactory to the counsel for the Underwriters, dated such Date of Delivery, relating to the Option Shares to be purchased on such Date of Delivery and otherwise to the same effect as the opinions required by Sections 5(b) and 5(c) hereof, respectively.
