Opinions of Counsel to the Indenture Trustee. Counsel to the Indenture Trustee shall have delivered to the Administrative Agent and Buyer a favorable opinion dated the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and its counsel related to the enforceability of the Base Indenture.
Opinions of Counsel to the Indenture Trustee. Counsel to the Indenture Trustee shall have delivered to the Purchaser a favorable opinion, dated as of the Closing Date and reasonably satisfactory in form and substance to the Purchaser and its counsel.

Counsel to the Indenture Trustee shall have delivered to the Administrative Agent a favorable opinion, addressed to the Administrative Agent, the Managing Agents, the Conduit Purchasers, the Committed Purchasers and the Alternate Transferees, dated as of the Funding Date and reasonably satisfactory in form and substance to the Administrative Agent and each Managing Agent and their respective counsel, as to such matters as the Administrative Agent or any Managing Agent shall reasonably require.
Opinions of Counsel to the Indenture Trustee. Only with respect to the Initial Closing, counsel to the Indenture Trustee shall have delivered to the Agent a favorable opinion, dated as of the date of the date of the Initial Closing and reasonably satisfactory in form and substance to the Agent and its counsel related to the enforceability of the Indenture.
Opinions of Counsel to the Indenture Trustee. Counsel to the Indenture Trustee shall have delivered to Citigroup, as initial noteholder, a favorable opinion, dated as of the Closing Date and reasonably satisfactory in form and substance to Citigroup, as initial noteholder, and its counsel.
Opinions of Counsel to the Indenture Trustee. The Agent shall have received favorable opinions with respect to the Indenture Trustee, dated as of the Closing Date and addressed to the Agent and each Purchaser, and reasonably satisfactory in form and substance to the Agent and its counsel, as to such matters as the Agent and its counsel may reasonably request, or any other matters required to be covered by any Rating Agency.
