Order Processing and Returns. A. Manufacturer will employ its best efforts to fill Distributor's orders promptly on acceptance, but reserves the right to allot available inventories among distributors at its discretion.

(a) All Product provided by Altairnano shall conform to the Product functional specifications set forth on Schedule D attached hereto and incorporated herein by this reference (the "Functional Specifications") at the time such Product is delivered to Phoenix pursuant to Section 6 above. The Product's conformity to the Functional Specifications as set forth herein is a material term of this Agreement. Except for Altairnano's products that do not conform to the Functional Specifications, Altairnano shall not be obligated to accept any of Altairnano's products that are returned. In the event the return of Product that conforms to the Functional Specification is accepted, Altairnano may impose a reasonable restocking charge.
Order Processing and Returns. A. All orders for Manufacturer products will be processed within 24 hours and will ship within 48 hours under normal circumstances. Should the Manufacturer not have enough product quantity on hand, a delay may occur in which case a partial or delayed shipment will be made by the Manufacturer to the Distributor.
B. All orders for Manufacturer products made by the Distributor may NOT be returned.

B. Except for View Systems' products that are defective at the time of sales to Reseller, View Systems shall not be obligated to accept any of View Systems' Products that are returned. In the event such returns are accepted, View Systems may impose a reasonable restocking charge.
C. View Systems shall confirm all orders for product using an order confirmation form substantially in the form of the attached order confirmation form, which order confirmation form shall incorporate by reference the terms and conditions of this Agreement. Prior to shipment of product to Reseller, Reseller shall provide View Systems with such downpayment as shall be established by View Systems.
Order Processing and Returns. Manufacturer will attempt to fill Dealer's orders promptly upon acceptance, but reserves the right to allot available inventories among all of its dealers if required. Except for Manufacturer's Products that are defective at the time of sales to Dealer, Manufacturer shall not be obligated to accept any of Manufacturer's Products that are returned. In the event such returns are accepted, Manufacturer may impose a restocking charge, not to exceed 25% of current dealer price.
