Organizational and Authority Documents. The Lender shall have received the following, each of which shall be an original or a facsimile (followed promptly by an original), in form and substance satisfactory to the Lender: (i) a certificate of a secretary or assistant secretary of each Credit Party to the effect that the Organizational Documents of such Credit Party furnished to the Lender pursuant to Section 3.01(a)(i) remain in full force and effect as of the date of this Agreement and have not been modified or amended since the date they were delivered to the Lender. (ii) such certificates of resolutions or other action, incumbency certificates and/or other certificates of Responsible Officers of each Credit Party as the Lender may reasonably require evidencing the identity, authority and capacity of each Responsible Officer thereof authorized to act as a Responsible Officer in connection with this Agreement and the other Credit Documents to which such Credit Party is a party and evidencing each Credit Party’s authority to obtain credit under, or to Guarantee, as the case may be, the obligations of such Credit Parties under the Credit Documents to which the Credit Parties are parties and to do all things necessary to effect the transactions contemplated thereby. (iii) a certificate of a secretary or assistant secretary of each Credit Party to the effect that such Credit Party is duly organized or formed, and is validly existing, in good standing and qualified to engage in business in its state of organization or formation and the state of its principal place of business. (iv) such opinions of counsel to the Credit Parties relating to the transactions covered by the Credit Documents as the Lender may reasonably request. (v) a certification of a Responsible Officer of AirTran certifying that the representations and warranties of AirTran set forth in Article IV hereof are true and correct in all material respects as of such date except to the extent such representations and warranties relate to a specific earlier date, in which case such representations and warranties were true and correct in all material respects as of such earlier date and no Default or Event of Default shall have occurred and be continuing hereunder.
