Organizational Records. TIAA shall maintain initial and ongoing organizational records not otherwise maintained or required to be maintained by CREF’s custodian(s), distributor, or investment manager.
Organizational Records. Since its time of formation, the Company and each of its Subsidiaries has maintained corporate records of its managers, directors, and members that are (i) in compliance with applicable Law and (ii) are sufficient to duly and adequately approve and document all material transactions and actions taken by the Company or its Subsidiaries.

Organizational Records. Neither NEI or Aptus has violated its articles of incorporation or its by-laws. Copies of the articles of incorporation of Aptus and all amendments thereto, and of the by-laws of NEI and Aptus and all amendments thereto, certified to be complete and correct are attached as Schedule 3.4 hereto.
