OTHER INTERACTIVE AREAS. 1.4.1 AOL Approval. ICP shall not be permitted to establish any "pointers" or links between the ICP Programming and any other area on or outside of the AOL Network, including, without limitation, sites on the World Wide Web portion of the Internet, other than temporary editorial links to contextually relevant Content and links described on Exhibit A-2, without the prior written approval of AOL. In addition, AOL may restrict its approval (at any time) to specific portions of Content, Products, or functionality within a Linked Interactive Site. In such case, establishment of the link from the ICP Programming to the Linked Interactive Site will be subject to mutual agreement of the Parties regarding the means by which access will be restricted to the approved portions of the Linked Interactive Site. All Content linked to from ICP Programming, whether or not such links require (or receive) AOL approval, shall be subject to the terms of this Agreement. Any Linked Interactive Site which is (a) described on Exhibit A-2, (b) permanently linked to any ICP Programming, or (c) contains Content which is material to the ICP Programming (e.g. contains a material amount of Content addressing a material topic of such ICP Programming, receives a material amount of AOL Member traffic, or is promoted prominently within such ICP Programming) shall conform to AOL's technical specifications and guidelines, including the Operating Standards set forth on Exhibit F.

OTHER INTERACTIVE AREAS. 1.3.1 AOL Approval. AOL hereby approves the tourism links set forth in Exhibit A. In addition, AOL may restrict its approval (at any time) to specific portions of Content, Products, or functionality within a Linked Interactive Site. In such case, establishment of the link from the Licensed Content to the Linked Interactive Site will be subject to mutual agreement of the Parties regarding the means by which access will be restricted to the approved portions of the Linked Interactive Site. The Customized Web Site (as defined below) and all Linked ICP Interactive Sites shall comply with the Operating Standards set forth in Exhibit E.

In addition, AOL may restrict its approval (at any time) to specific portions of Content, Products, or functionality within a Linked Interactive Site. In such case, establishment of the link from the Licensed Content to the Linked Interactive Site will be subject to mutual agreement of the Parties regarding the means by which access will be restricted to the approved portions of the Linked Interactive Site.

  • Projects 3.3.1 Exult Supplier shall perform the impact analysis as described in Section 4.

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.

  • Site The Generating Facility is located on approximately 10 acres with an address of 0000 Xxxxx Xxxxxx Xxxxxx in Xxxxxx Tree, San Bernardino County in California. The centroid of the solar array is 34.1383°N, -116.2262°W. The site is dedicated to the Generating Facility use only.

  • Communications Equipment Members of the board of directors or any committee thereof may participate in and act at any meeting of such board or committee through the use of a conference telephone or other communications equipment by means of which all persons participating in the meeting can hear each other, and participation in the meeting pursuant to this section shall constitute presence in person at the meeting.

  • Maintaining Records; Access to Properties and Inspections; Annual Meetings (a) Keep proper books of record and account in which full, true and correct entries in conformity with GAAP and all Requirements of Law are made of all dealings and transactions in relation to its business and activities.   • Project Leaders Within [**] Business Days after the Effective Date, each Party will appoint (and provide written notice to the other Party of the identity of) a senior representative having a general understanding of biopharmaceutical discovery and development issues to act as its project leader under this Agreement (each, a “Project Leader”). Each Project Leader may designate a substitute to temporarily perform the functions of that Project Leader by prior written notice to the other Party.

  • Collaboration Management Promptly after the Effective Date, each Party will appoint a person who will oversee day-to-day contact between the Parties for all matters related to the management of the Collaboration Activities in between meetings of the JSC and will have such other responsibilities as the Parties may agree in writing after the Effective Date. One person will be designated by Merck (the “Merck Program Director”) and one person will be designated by Moderna (the “Moderna Program Director,”) together will be the “Program Directors”. Each Party may replace its Program Director at any time by notice in writing to the other Party. Any Program Director may designate a substitute to temporarily perform the functions of that Program Director by written notice to the other Party.
