Over Usage. OT may invoice Licensee for Fees and Taxes payable by Licensee due to use of or authorization to access the Software in excess of the number or type of Software Licenses granted by OT.
Over Usage. In accordance with Section 5.5 of the Agreement, VECTRA reserves the right to perform true-up reconciliation and charge for any usage above the volume purchased. With respect to Detect for Office 365, to calculate End User’s usage, VECTRA will sample the amount of usage observed by any Product every hour. At the end of any 30-day period, the samples are ordered from highest to lowest. The top five percent (5%) of the samples are discarded. The highest remaining sample (i.e., End User’s usage at the ninety-fifth percentile (95th %)) is the measured usage. End User agrees to pay fees for over usage in accordance with the then-current applicable rates, unless otherwise set forth in the applicable Order.
Over Usage. Any usage exceeding the original subscription in the relevant Subscription period will be invoiced to Partner by additional fees in the month following the month where the additional usage happened.
Over Usage. 6.3.1 If WorkWide determines that the Customer exceeds a contractual usage limit (“the Contractual Usage Limit”) contemplated in the original End User Acceptance Form (“the Original End User Acceptance Form”), the Reseller, at the instruction of WorkWide, shall invoice the Customer for:
6.3.1.1 Such numbers, types and identifiers of permitted Users which are in excess of the Contractual Usage Limit set out in the the Original End User Acceptance Form (“the Over- Usage”);
6.3.1.2 The term of the Over-Usage Subscription Services shall be for the period commencing on the 1st day of the month in the month when the Customer exceeded the Contractual Usage Limit until the end of the Subscription Term set out in the the Original End User Acceptance Form;
6.3.1.3 The fees and other charges payable by the Customer for the Over-Usage shall be in line with those fees and charges set out for the Subscription Services in the order between the Customer and the Reseller (“the Over-Usage Fees”);
6.3.1.4 The Over-Usage Fees will be invoiced to the Reseller to the Customer within 30 days of WorkWide becoming aware of the Over-Usage; and
6.3.1.5 The invoice in respect of the Over-Usage Fees will be paayble 14 days after issue of such invoice.
6.3.2 To the extent that the Customer does not make payment of the invoice in accordance with clause 6.3, WorkWide shall disable the unpermitted Users which are in excess of the Contractual Usage Limit.
Over Usage. As set forth in the applicable Order, End User subscribes to use Detect for AWS until it exceeds either the purchased volume of AWS Data or the applicable Subscription Term, whichever occurs first. In accordance with Section 5.5 of the Agreement, VECTRA reserves the right to perform true-up reconciliation and charge for any usage above the volume purchased. With respect to Detect for AWS, End User’s usage to be calculated based on the GB volume of AWS Data ingested by Detect for AWS during the Subscription Term. In the event End User’s usage exceeds the subscribed volume, End User agrees to pay fees for over usage in accordance with the then-current applicable rates, unless otherwise set forth in the applicable Order.
Over Usage. XXXXX may, at any time or times, estimate and invoice Licensee for any and all license fees and other amounts payable by Licensee to XXXXX as a result of any access and/or use of the Software by, or through, Licensee in excess of the number and/or type of licenses purchased by Licensee from XXXXX under this XXXX. Licensee shall make timely and complete payment to XXXXX of all such license fees and other amounts invoiced by XXXXX. Each invoicing and/or receipt by XXXXX of such license fees and/or other amounts shall be without prejudice to any rights and/or remedies which XXXXX may possess under this XXXX, at law, in equity, and/or otherwise.
Over Usage. Rocket Software may invoice Licensee for Fees and Taxes payable by Licensee due to use of or authorization to access the Software in excess of the number or type of Software Licenses granted by Rocket Software.
Over Usage. COMAEA may invoice Licensee for fees and Taxes payable by Licensee due to use of or access to the Software in excess of the number of users or modules of Software Licenses granted by COMAEA.
