Overseas Securities Offering and Listing Rules. The Company represents and warrants to the Underwriters that this offering or the listing of the Company’s securities on Nasdaq is not subject to or has fully complied with the requirements of the Trial Administrative Measures of the Overseas Securities Offering and Listing by Domestic Companies and related regulations, rules or guidelines, including but not limited to the Provisions on Strengthening the Confidentiality and Archive Management Work Relating to the Overseas Securities Offering and Listing.

Overseas Securities Offering and Listing Rules. (A) Except as disclosed in the Registration Statement, the Disclosure Materials, the Prospectus, each of the Company and of its Controlled Entities has complied with all requirements and timely submitted all requisite filings in connection with the offering of the Securities (including, without limitation, the CSRC Filing Report) with the CSRC pursuant to the CSRC Filing Rules and all applicable Laws, and the Company has not received any notice of rejection, withdrawal or revocation from the CSRC in connection with such CSRC Filings. Each of the CSRC Filings made by the Company or by directors and officers of the Company on behalf of the Company is in compliance with the disclosure requirements pursuant to the CSRC Filing Rules.

  • Stock Exchange Listing The shares of Common Stock have been approved for listing on the NASDAQ Capital Market (the “Exchange”), and the Company has taken no action designed to, or likely to have the effect of, delisting the shares of Common Stock from the Exchange, nor has the Company received any notification that the Exchange is contemplating terminating such listing except as described in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

  • Exchange Listing The Shares to be delivered on the Closing Date or the Additional Closing Date, as the case may be, shall have been approved for listing on the Nasdaq Market, subject to official notice of issuance.
