Trial Measures definition

Trial Measures means the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Enterprises promulgated by the China Securities Regulatory Commission (the “CSRC”) on February 17, 2023 which became effective on March 31, 2023.
Trial Measures shall have the meaning ascribed to such term in Section 3.1(ggg).
Trial Measures means the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Enterprises, which were promulgated by the CSRC on February 17, 2023 and became effective on March 31, 2023.Based on the foregoing and subject to the qualifications set out below, we are of the opinion that, as of the date hereof, so far as PRC Laws are concerned:

Examples of Trial Measures in a sentence

  • The Company has received legal advice specifically with respect to the Trial Measures from its PRC counsel and based on such legal advice, the Company confirms with the Underwriters that the Company is subject to the Trial Measures and shall complete the filing with the CSRC within three working days from the closing of this Offering.

  • The information shall be provided by the Company to the CSRC during the filing procedures in accordance with the Trial Measures and other applicable laws and regulations and will be true and accurate in all material respects and no material fact will be omitted from such filings which would make the information therein misleading.

  • To meet the Company’s working capital requirements, further improve its debt structure and lower its finance costs, the Company has proposed the public issue of corporate bonds of not more than RMB6,000 million (the ‘‘Bond Issue’’) in accordance with relevant provisions of the Company Law of the People’s Republic of China, Securities Law of the People’s Republic of China, the Trial Measures for Bond Issue and other pertinent laws, regulations and regulatory documents.

  • The Company has [received legal advice/conducted its own analysis] specifically with respect to the Trial Measures [from its PRC counsel] and based on such [legal advice/assessment], the Company confirms with the Underwriters that the Company is not subject to the Trial Measures and is not required to obtain approvals from any PRC government authorities, including the CSRC or the Cyberspace Administration of China.

  • Since the Trial Measures have come into effect, under the currently effective PRC laws and regulations, the Company is required to make filings with the CSRC and should complete the filing before its listing on the Nasdaq.
