Owner’s Title. The Owner represents and warrants to the County that, at the date of this Agreement and at the date of the registration of this Agreement upon title, the Owner will be the Owner in fee simple of the Land free of all liens and encumbrances, save and except for those items described on Schedule “C” attached hereto.

Owner’s Title. The Owner represent and warrant to the Municipality that at the date of this Agreement and at the date of the registration of this Agreement upon title, the Owners are the owner in fee simple of the parcel free from all liens and encumbrances; and the Owners shall cause to be delivered to the Municipality an opinion by a solicitor authorized to practice in Ontario to this effect after and as of the registration of this Agreement upon the title to the parcel. The said opinion shall be addressed to the Municipality in consideration of a fee of One Dollar ($1.00) payable to the solicitor rendering same. If there are any outstanding encumbrances, liens or mortgages, the Owners shall obtain and register a discharge of same or, in the alternative; the Owners shall obtain and register agreements postponing the interest of the lienholder, encumbrancer or mortgagee to the interests of the Municipality. Such postponement agreements to confirm that the lienholder, encumbrancer or mortgagee agrees that in the event the parcel becomes vested in him, the lienholder, encumbrancer or mortgagee shall be required to comply with the terms of this Agreement to the same extent as if he had joined herein as Owner.

The Owner represents and warrants to the Municipality that, at the time of the registration of this Agreement upon the title to the Land, the Owner is the absolute owner of the Land free and clear of all encumbrances such that this Agreement has first priority over the Land as against any owner, mortgagee, tenant, easement holder or other encumbrancer thereof; and the Owner shall cause to be delivered to the Municipality a Solicitor's opinion to this effect after and as of the registration of this Agreement upon the title to the Land. The said opinion shall be addressed to the Municipality by a Solicitor authorized to practise in Ontario and shall be in consideration of a fee of $1.00 payable to the Solicitor rendering the same.

Owner’s Title. Nothing herein contained shall empower Lessee to do any act which can, may or shall cloud or encumber Owner's title. Lessee's rights are and shall always be subordinate to the lien of any mortgage or mortgages now or hereafter placed upon the premises and to all advances made or hereafter to be made upon the security thereof, and Lessee shall execute such further instruments subordinating this Lease to the lien or liens of any such mortgage or mortgages or to any such underlying lease or leases as shall be requested by Owner. Lessee hereby irrevocably appoints owner as Attorney-in-Fact for Lessee with full authority to execute and deliver in the name of Lessee any such instrument or instruments. Owner agrees that it will not place a first mortgage lien on the premises which will call for monthly payments exceeding the amount of the fixed monthly rental payment. If Owner should default on any mortgage payment, Lessee may divert its rental payments to the mortgage company for the purpose of preventing a default under the mortgage and for the purpose of protecting its position as Lessee. It is agreed and understood that an essential part of this Lease Agreement includes the covenant of quiet enjoyment of the leased premises by Lessee.
Owner’s Title. Owner shall have received good and marketable title to the Aircraft, free and clear of any Liens, and all filings, recordings and other actions that are necessary or desirable in order to establish, protect and preserve Owner's title to and ownership of the Aircraft shall have been duly effected, including, without limitation, the receipt by Owner of a duly completed, executed and delivered FAA Xxxx of Sale. In addition, Owner shall have received evidence satisfactory to it that, immediately prior to the transfer of the title to the Aircraft to Owner by the seller thereof, such seller has good and marketable title to the Aircraft. The international interest created hereby in the Aircraft pursuant to the provisions of the Cape Town Convention shall be registered with the International Registry, and Manager hereby consents to such registration and authorizes Owner to effect all such registrations with the International Registry. No international interest created in favor of Owner shall be discharged without the prior written consent of Owner.
Owner’s Title. Manager acknowledges that Owner is not the owner of the site but is the tenant thereof pursuant to a Ground Lease between The Buffalo Enterprise Development Corporation as landlord and owner as tenant dated __________________ ("Ground Lease"). Manager acknowledges receipt of a copy of the Ground Lease and agrees to comply with the terms thereof in connection with its operation of the Greenhouse.
