Ownership of Project IP. Subject to this clause 6, Project IP will be jointly owned by the Parties as a tenants-in-common in proportion to each Party’s respective contribution to the creation of the relevant Project IP.
Ownership of Project IP. All right, title and interest in the Project IP and the ARC Project IP vests in and is hereby assigned to NSi with effect from its creation.

All right, title and interest in and to Sponsor Project IP will remain exclusively with Sponsor. Ownership of Project IP. (a) Unless otherwise stated in the applicable Project Work Statement, as between the Parties, any Project IP relating exclusively to the field of the LiveWire Business will be owned by LiveWire (such Project IP, “LiveWire Project IP”), and all other Project IP will be owned by HD (such Project IP, “HD Project IP”). Unless otherwise stated in the applicable Project Work Statement or as otherwise agreed by the Parties, (i) to the extent that ownership of any right, title or interest in and to the LiveWire Project IP vests in HD by inventorship, authorship, or otherwise by operation of law, HD hereby assigns such LiveWire Project IP to LiveWire, and (ii) to the extent that ownership of any right, title or interest in and to the HD Project IP vests in LiveWire by inventorship, authorship, or otherwise by operation of law, LiveWire hereby assigns such HD Project IP to HD.
(b) Each Party agrees to, and to cause its employees and any applicable contractors to, execute such assignments and other documents and instruments, and take such other actions as reasonably requested by the other Party, to evidence, effectuate, and record the foregoing assignments.
Ownership of Project IP. All rights and title to Project IP shall be owned by the generating Party. Joint IP shall be jointly and equally owned, with each Party having the unrestricted right to exploit the benefits of ownership without obligation to the other Party.
Ownership of Project IP. Mascoma shall own all intellectual property rights related to Mascoma Project IP. Lallemand hereby assigns to Mascoma all of Lallemand’s right, title and interest in and to any and all Mascoma Project IP that Lallemand, its employees or agents develop, conceive or first reduce to practice under this Agreement. Lallemand shall own all intellectual property rights related to Lallemand Project IP. Mascoma hereby assigns to Lallemand all of Mascoma’s right, title and interest in and to any and all Lallemand Project IP that Mascoma, its employees or agents develop, conceive or first reduce to practice under this Agreement. Each party hereby agrees to execute and deliver such documents, and take such other actions, as the other party may reasonably request from time to time to evidence or give effect to the allocation of ownership rights set forth in this Section 7.2. Each party shall have the sole right to prepare, file, prosecute and maintain patent applications and patents claiming the inventions it owns under this Section 7.2 in the manner such party determines in its sole discretion. Ownership of Project IP. Subject to clause 9.2 and the licences to use and/or Commercialise the Project IP granted pursuant to this Agreement (including clauses 9.13, 10, 11 and 12), Project IP will vest upon creation in the Project IP Owners detailed in Item 12 of the Project Plan (and where there is more than one Project IP Owner, as tenants in common in the shares detailed in Item 12 of the Project Plan (or if not so detailed, in equal shares)).
Ownership of Project IP. Any Project IP solely invented or created by employees of P1 shall be solely owned by P1. Any Project IP solely invented or created by employees of P2 shall be solely owned by P2. Any Project IP invented or created jointly by employees of P1 and P2 shall be jointly owned by P1 and P2 (“Joint IP”).80 Project IP does not include the copyright to any Student Thesis.
