Existing Material Sample Clauses
Existing Material. As between the parties, the ownership of all rights (including Intellectual Property Rights) in any Existing Material remains with the party which makes that Material available for the Project.
Existing Material. All right, title and ownership of any code, forms, algorithms, methodologies, frameworks or materials developed by or for WeBill or Pilot Partner independently and outside of the Agreement and provided during the course of the Agreement (“Existing Material”) shall remain the sole property of the Party providing the Existing Material.

(b) RHC grants you a revocable, non-transferrable, non-exclusive licence to use all Intellectual Property Rights in Existing Material provided by RHC in connection with this Agreement during the Term solely to enable you to access and use the Service.
(c) You grant to RHC a royalty-free, irrevocable, perpetual, transferable, non-exclusive licence during the Term to use the Intellectual Property Rights in Existing Material provided by youas necessary for RHC to provide the Service.
Existing Material. Intellectual Property Rights are important and ensuring all bases are covered requires comprehensive drafting. In a nutshell, though, you own your existing IP and modifications to it, and the Purchasing Agency owns its existing IP. You own the new IP in software you develop for the Purchasing Agency (if any), and the Purchasing Agency owns new IP in other materials you develop specifically for it. Each party grants licences to the other, and you make an IP-related warranty and grant an IP indemnity (with some carve-outs to protect you in relation to Third Party Material and certain other things). Each party retains ownership of all Intellectual Property Rights in Existing Material belonging to that party.
Existing Material. (a) Clause 9.1 does not affect the ownership of any Intellectual Property rights in any Existing Material.
(b) The State grants (or must procure for) the Commonwealth, a perpetual, irrevocable, royalty-free and licence fee-free, world-wide, non-exclusive licence (including a right of sub-licence) to use, reproduce, modify, adapt, publish, perform, broadcast, communicate and exploit the Existing Material as part of, or in conjunction with the Services.
Existing Material. Clause 8.1 does not affect the intellectual property rights in materials owned by the Service Provider, or developed or acquired by the Service Provider independently of this Agreement. For the avoidance of doubt, Youi retains all rights we have in relation to its database of names and the Personal Information of its Customers notwithstanding the termination of this Agreement.

Existing Material. Except to the extent otherwise stated in this agreement:
(a) each party retains ownership of the Intellectual Property Rights in any of its Existing Material or any material it develops following the commencement of this agreement; and
(b) nothing in this agreement transfers ownership of, or assigns any Intellectual Property Rights in either party’s Existing Material to the other party.
