P roduction Defined. “Production” collectively means (a) all of the phases of production of the Film and the completion thereof, comprising pre-production, principal photography, and post-production, including the manufacture of the Delivery Items; and (b) the payment of all items of cost (other than the Cost Exclusions, if any, and other costs to the extent not covered in full by the terms of the Completion Guaranty) included in the estimated negative cost statement of the Film (and all items or costs included on the final negative cost statement to the extent not included in the estimated negative cost) prepared in accordance with normal industry practices including, but not limited to, all third-party contracts entered into in writing by Producer in connection with the Film, or in the case of costs incurred but not yet paid, or costs being contested in good faith by appropriate proceedings or costs subject to payment by insurance, securing payment thereof in a manner reasonably satisfactory to Beneficiary.
