The Film. The Production Company shall hire the Director to direct a Feature Film with the following working title: The Film shall be based on the original idea by [name] and script by [name/names]. The film rights in respect of the script have been transferred under separate agreement between the Production Company and the rightsholder. Screen time has provisionally been fixed at [number of] minutes. Any significant deviations from this require an agreement between the Parties. Language of the Film: [language] Film format: [format, e.g. HD] The Film’s production address is the Production Company’s address, as indicated above, unless otherwise agreed. The Film’s production budget is, or is expected to be, DKK [insert amount]. The Director shall undertake to exercise his/her artistic responsibilities within this budgetary framework. Significant changes to the total budgetary framework shall be made in consultation with the Director. The Film’s release budget and release schedule shall be prepared by the Film’s Distributor in collaboration with the Production Company and the Director and shall be agreed on in connection with the completion of the Film. The Production Company shall, where possible, file an application for release funding with the Danish Film Directors.

The Film. Within 21 days of the date hereof or the Notification Date whichever is the earlier the Film Company shall give the Museum a synopsis of the script and, additionally, extracts from the script of those scenes which are to be filmed at the Location together with such further information regarding the terms and scope of the film as the Museum may request (‘the Outline Story’).
The Film. 3.1. The Supplier acknowledges that the Customer shall own the copyright and all other rights in the products of photography, filming and recording under this Agreement and all publicity and advertising materials, book, merchandise and other copyright works relating to the Film or any of its characters and incorporating any filming and shall have the sole right to exhibit, broadcast, exploit, market, publicise, advertise and distribute the Film in any and all media (whether now known or hereafter invented) throughout the world for the full period of copyright including any extensions, revivals, reversions or renewals thereof and thereafter, in so far as possible, in perpetuity. 3.2. Subject to the Customer’s compliance to our satisfaction with the terms and conditions of the this Agreement, the Supplier irrevocably agrees that the Customer shall have the rights to use, edit and incorporate the filming (or any part of thereof) into the final version of the Film, including advertisements and publicity, either as a sequence, on its own or proceeded, interlaced or followed by such scenes as the Customer may determine (including, without limitation, still photographs or scenes of studios and sets representing for the purposes of the Film, the interior and exterior of the Venue) and to broadcast and repeatedly broadcast the same. 3.3. The Customer accepts and agrees that any use of material howsoever derived in any format from the filming not expressly authorised by section 3.2 above shall be subject to our further editorial consent (which may be subject to additional terms and payment). 3.4. The Customer shall take all reasonable and proper steps to ensure that the Customer does nothing that may bring the Supplier into disrepute nor shall the Customer do anything to prejudice or damage the Supplier logo, marks, brand or reputation. The Customer agrees that the Supplier shall have the right on reasonable notice to review the final cut of the Film for factual accuracy and to require reasonable changes thereto. 3.5. At the beginning or at the end of the edited Film the Supplier must be credited as follows {“Filmed
The Film. The “Film” shall mean the feature film (i) provisionally entitled Last Swim, or having such other title that Producer may determine (ii) based on the script of the same name by Xxxxx Xxxxxxxx and Xxxxx Xxxxxxx; (iii) produced in accordance with the Budget; (iv) produced by Xxxxxxxx Xxxxxx and Xxxxx Xxxxxxx for Producer; (v) with a running time of approximately 95 minutes; and (vi) with a proposed start date for production of 15 of March 2023. Each of the foregoing elements are subject to such changes as may be agreed by Producer. The Investor hereby approves all of the foregoing elements and acknowledges the right of Producer to make such changes as Producer may determine in its absolute discretion.
The Film. The Film shall meet the specifications set forth in Annex A (the “Specifications”), and shall be produced in a certified cGMP facility. Compliance with the Specifications shall be determined in accordance with the analytical methods set forth in Annex B. Upon reasonable notice to BioProgress FMC may change the specifications of the Film to reflect the refinement of the NRobe™ System as it is commercialized provided that, where such change, in the reasonable opinion of BioProgress, is likely to cause technical difficulties for the equipment producing the Film, BioProgress shall, within fourteen (14) days of receipt of notice of change from FMC, give notice of such technical difficulties. The parties will work together in good faith to establish a solution to such difficulties but BioProgress shall not be obliged to implement the change until a solution acceptable to both parties is agreed.
The Film. (a) Archival Footage, Interviews, and Licensed Elements. Producer will work in conjunction with Xxxxxxxx to collect archival footage, interviews, and elements licensed from third parties for incorporation into the final edit of the Film, such that releases, licenses, and permissions from third parties that may be required can be obtained in the name of the Producer. Spiritus retains ownership of all materials provided by Spiritus and/or its designees approving use of materials only in the Film including promotion, exhibition, and distribution of the Film.
The Film. 4.1. Subject to the Customers compliance to our satisfaction with each and every term and condition herein we irrevocably agree that the Customer shall have the rights to (i) use, edit and incorporate the filming (or any part of thereof) into the final version of the Film either as a sequence on its own or proceeded interlaced or followed by such scenes as the Customer may determine and to broadcast and repeatedly broadcast the same; and (ii) use and publish in respect of the FSC photographs in connection with the promotion and advertising of the Film. 4.2. The Customer accepts and agrees that any use of material howsoever derived in any format from the filming not expressly authorised by clause 4(a) above shall be subject to our further editorial consent (which may be subject to additional terms and payment); 4.3. The Customer shall take all reasonable and proper steps to ensure that the Customer does nothing that may bring the FSC into disrepute nor shall the Customer do anything to prejudice or damage the FSC logo, marks, brand or reputation and the Customer agrees that the FSC shall have the right on reasonable notice to review the final cut of the Film for factual accuracy and to require reasonable changes thereto. 4.4. At the beginning or at the end of the edited Film the FSC must be credited as follows {“Filmed at/with the assistance of (delete as applicable) The Fire Service College Ltd”} 4.5. The Customer agrees to supply us without charge two digital copies of all “rushes” and the finished Film together with the free and irrevocable right for the full legal term of copyright (including any extensions revivals or renewals thereof) to use, edit and reproduce the same for our own purposes. 4.6. The Customer shall be wholly responsible for obtaining and complying with any model releases, copyright licences or other permissions that may be necessary to permit any individuals or other subject matter to be filmed and/or used in the Film. 4.7. No part of any film containing any of our staff, property or equipment may be distorted, manipulated, used within other programmes, re-used, lent or sold under any circumstances without our permission in writing. 4.8. Filming does not give the Customer the right to mention the FSC or use the any part of the Film or the FSC brand in advertisements or other promotional material without prior written permission by us.

  • Zone File Access Agreement Registry Operator will enter into an agreement with any Internet user, which will allow such user to access an Internet host server or servers designated by Registry Operator and download zone file data. The agreement will be standardized, facilitated and administered by a Centralized Zone Data Access Provider, which may be ICANN or an ICANN designee (the “CZDA Provider”). Registry Operator (optionally through the CZDA Provider) will provide access to zone file data per Section 2.1.3 of this Specification and do so using the file format described in Section 2.1.4 of this Specification. Notwithstanding the foregoing, (a) the CZDA Provider may reject the request for access of any user that does not satisfy the credentialing requirements in Section 2.1.2 below; (b) Registry Operator may reject the request for access of any user that does not provide correct or legitimate credentials under Section 2.1.2 below or where Registry Operator reasonably believes will violate the terms of Section 2.1.5. below; and, (c) Registry Operator may revoke access of any user if Registry Operator has evidence to support that the user has violated the terms of Section 2.1.5 below.

  • Database File The Servicer will provide the Successor Servicer with a magnetic tape (in a format reasonably acceptable to the Indenture Trustee and the Servicer) containing the database file for each Contract (i) as of the Initial Cutoff Date, (ii) the Subsequent Cutoff Date, (iii) thereafter, as of the last day of the preceding Due Period on each Determination Date prior to a Service Transfer and (iv) on and as of the Business Day before the actual commencement of servicing functions by the Successor Servicer following the occurrence of a Service Transfer.

  • Separate Grievance File All documents, communications and records dealing with the processing of a grievance shall be filed in a separate grievance file and shall not be kept in the personnel file of any of the participants.

  • Agreements with Third Parties Each member of the VL Group is in compliance in all material respects with each and every one of its obligations under agreements with third parties to which it is a party or by which it is bound, the breach of which could be expected to result in a Material Adverse Change.

  • Contact with Third Parties In the event that Supplier receives a request from a third party (including an individual) to access any Personal Information in Supplier’s possession, Supplier will promptly forward a copy of such request to DXC and will cooperate with DXC in responding to any such request. Upon DXC’s request, Supplier will make Personal Information in its possession available to DXC or any Third Party designated in writing by DXC and will update Personal Information in Supplier’s possession in accordance with DXC's written instructions. If any government or competent authority requests Supplier to disclose or allow access to Personal Information, Supplier shall, unless legally prohibited, immediately notify DXC of such request and shall not disclose or allow access to such Personal Information without first giving DXC an opportunity to consult with the requesting government or authority to seek to prevent such disclosure or access. Supplier will respond to any such government or enforcement authority request only after consultation with DXC and at DXC’s discretion, unless otherwise required by law. Supplier shall promptly notify DXC if any complaints are received from Third Parties about its Processing of Personal Information, and Supplier shall not make any admissions or take any action that may be prejudicial to the defense or settlement of any such complaint. Supplier shall provide DXC with such reasonable assistance as it may require in connection with resolving any such complaint.

  • Entire Agreement; No Third Party Beneficiary This Agreement, including the Transaction Documents, constitutes the entire agreement, and supersedes all other prior agreements and understandings, both written and oral, among the parties and their Affiliates, or any of them, with respect to the subject matter hereof and thereof. No provision of this Agreement shall confer upon any Person other than the parties hereto and their permitted assigns any rights or remedies hereunder.

  • Entire Agreement; No Third Party Beneficiaries; Rights of Ownership This Agreement (including the documents and the instruments referred to herein) constitutes the entire agreement and supersedes all prior agreements and understandings, both written and oral, among the parties with respect to the subject matter hereof, and is not intended to confer upon any person other than the parties hereto any rights or remedies hereunder.

  • Appendix A – HRIS File Each Board shall provide to the Trustees of the ETFO ELHT directly, or provide authorization through its Insurance Carrier of Record to gather and provide to the Trustees, the following information within one (1) month of notification from the Trustees. The following information shall be provided in the formats agreed to by the Trustees of the ETFO ELHT and the employer representatives:

  • Documents & Data; Licensing of Intellectual Property This Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any and all copyrights, designs, and other intellectual property embodied in plans, specifications, studies, drawings, estimates, and other documents or works of authorship fixed in any tangible medium of expression, including but not limited to, physical drawings or data magnetically, electronically or otherwise recorded or stored, which are prepared or caused to be prepared by Consultant under this Agreement (“Documents & Data”). All Documents & Data shall be and remain the property of City, and shall not be used in whole or in substantial part by Consultant on other projects without the City's express written permission. Within thirty (30) days following the completion, suspension, abandonment or termination of this Agreement, Consultant shall provide to City reproducible copies of all Documents & Data, in a form and amount required by City. City reserves the right to select the method of document reproduction and to establish where the reproduction will be accomplished. The reproduction expense shall be borne by City at the actual cost of duplication. In the event of a dispute regarding the amount of compensation to which the Consultant is entitled under the termination provisions of this Agreement, Consultant shall provide all Documents & Data to City upon payment of the undisputed amount. Consultant shall have no right to retain or fail to provide to City any such documents pending resolution of the dispute. In addition, Consultant shall retain copies of all Documents & Data on file for a minimum of five (5) years following completion of the Project, and shall make copies available to City upon the payment of actual reasonable duplication costs. In addition, before destroying the Documents & Data following this retention period, Consultant shall make a reasonable effort to notify City and provide City with the opportunity to obtain the documents.
