Parent Loan Documents. The Administrative Agent shall have received executed copies of all Parent Loan Documents.

Parent Loan Documents. Upon the completion of the Approved Restructuring, Borrower shall cause to be delivered to Agent the following (all in form and substance satisfactory to Agent): (a) duly executed joinder agreement, pursuant to which Parent becomes a party to this Agreement; (b) a Guaranty executed by Parent in favor of Agent and guaranteeing the Obligations; (c) a certificate of a Responsible Officer of Parent attaching true and correct copies of the articles or certificate of incorporation and bylaws (or other applicable organizational documents) of Parent, with such certificate to certify that the attached documents are true and correct copies of such documents and that such documents are in full force and effect as of and following the Approved Restructuring; (d) a certificate of a Responsible Officer of Parent certifying the names and true signatures of the officers of Parent authorized to execute, deliver and perform this Agreement and all other Loan Documents; (e) such opinions of counsel for Parent and the Borrower as the Agent shall reasonably request with respect to the Approved Restructuring; (f) revised schedules to this Agreement; and (g) such certificates and documents as Agent may reasonably require in connection with the foregoing and its customary due diligence.
