Partnership Agreement Amendment. Annex A to the Merger Agreement is hereby amended and restated in its entirety in the form set forth in Annex A hereto.
Partnership Agreement Amendment. The Partnership Agreement shall be amended and restated in its entirety by the Sellers on such terms and conditions as shall be satisfactory to the Sellers and the Purchasers.
Partnership Agreement Amendment. The Administrative Agent shall have received a true and complete executed copy of the amendment to or amendment of restatement of the Fifth Amended and Restated Agreement of Limited Partnership of Parent to be effective as of the Restatement Date which shall be in form and substance reasonably satisfactory to the Administrative Agent.

Partnership Agreement Amendment. If and to the extent that any ------------------------------- provisions of this Agreement are inconsistent with any provision of the Partnership Agreement, to the extent necessary to give effect to the terms and interest of this Agreement, but only to such extent, the provisions of this Agreement shall govern, and the conflicting provisions of the Partnership Agreement shall be deemed amended accordingly.
Partnership Agreement Amendment. WGR Holdings, the General Partner and the Partnership shall have mutually agreed on an amendment to the Partnership Agreement that would permit the Partnership to make a special cash distribution in the amount of the Cash Consideration to WGR Holdings (without a corresponding distribution to the General Partner or the limited partners of the Partnership)(the “Partnership Agreement Amendment”), which distribution will be made by the wire transfer contemplated in Section 3.3(a).
Partnership Agreement Amendment. KRC, in its capacity as ------------------------------- general partner to Buyer, hereby amends the Partnership Agreement to provide for all the foregoing provisions.
