Sellers' Certificates. Certificates of Seller, executed by Seller’s duly authorized officers, confirming the completeness and truthfulness in all material respects of the representations, warranties and covenants made herein, and incumbency certificates identifying the officers of Seller as of the Closing Date.
Sellers' Certificates. The Sellers shall have delivered to Purchaser (i) certificates, dated the Closing Date and executed by an executive officer of the Company, substantially in the form and to the effect of Exhibit B hereto and (ii) certificates, dated the Closing Date and executed by the chief financial officer of the Company, substantially in the form of Exhibit C hereto.
Sellers' Certificates. The Sellers will furnish the Purchaser with such certificates of the Sellers and the officers of the Subject Company and others to evidence compliance with the conditions set forth in this Agreement as may be reasonably requested by the Purchaser, which shall include, but not be limited to a certificate executed by the Secretary or an Assistant Secretary of the Subject Company certifying as of the Closing Date (A) a true and complete copy of the Organizational Documents of the Subject Company, and (B) incumbency matters;
Sellers' Certificates. Purchaser shall have received a certificate dated as of the Closing Date executed by an authorized officer of Seller certifying as to the fulfillment and satisfaction of the conditions set forth in Sections 7.1 and 7.2.
Sellers' Certificates. The certificates required by Sections 10.2(a) and (b) hereof.
Sellers' Certificates. The Sellers shall have delivered to Purchaser a certificate of each of the Sellers, dated the Closing Date, certifying the Sellers’ compliance with Sections 9.1 and 9.2 hereof.
Sellers' Certificates. Each of the following certificates shall have been executed and delivered, as the case may be, by the Person who or which is the subject thereof:
Sellers' Certificates. There shall be delivered to Buyer a certificate dated as of the Closing Date and signed by Seller to the effect set forth in Sections 8.1 and 8.2 as they relate to Seller, which certificate shall have the effect of a representation and warranty made by Seller on and as of the Closing Date.
Sellers' Certificates. The Seller shall have furnished the Buyer with certificates, dated the Closing Date and duly executed by the President of the Seller, to the effect that, to the best knowledge of the Seller, the conditions set forth in Sections 7.1.1 and 7.1.12 have been satisfied; and
Sellers' Certificates. Sellers shall have delivered to Connecture a certificate, dated the Closing Date and executed by Sellers, substantially in the form set forth in Exhibit C-1 hereto, and a certificate, dated the Closing Date and executed by Sellers, substantially in the form set forth in Exhibit C-2 hereto.
