Party Approvals. All Persons having any right to consent to or approve the issuance of the Series B Shares, the Warrant, the Conversion Shares, or the Warrant Shares shall have delivered such consents or approvals in writing. All Persons having any preemptive, first refusal or other rights with respect to the issuance of the Series B Shares, the Conversion Shares, or the Warrant Shares shall have irrevocably waived the same in writing.

You further agree to comply with and be bound by the decisions of the Sponsors regarding your eligibility to participate, which are final and binding in all respects. Sponsors reserve the right in their sole discretion to disqualify any Participant they find to be: (1) tampering or attempting to tamper with the operation of the Program; or (2) violating the Agreement, conditions of use, or guidelines of any of our property or service. Any false information provided within the context of the Program by any Participant is a violation of this Agreement and may result in the immediate disqualification of a Participant and forfeiture of any Reward.

Party Approvals. Any and all material consents required from third parties relating to licenses, leases and other agreements and instruments that are part of the Transferred Assets shall have been obtained.

Final, binding approval of the Definitive Agreements by the County Legislature, the Authority Board of Commissioners, authorized representatives of each of the Teams, and confirmation from such parties that the conditions precedent and required approvals are satisfied, without condition or exception.

Receipt of all authorizations, approvals, and/or consents as well as the expiration of applicable waiting periods, of any third parties without conditions, including federal or state governmental and/or regulatory bodies and officials, necessary for the consummation of this Agreement and for the continuation in all material respects of the business of Platte Valley, Tri-County and the Subsidiaries, without interruption after the Effective Time, in substantially the manner in which such business is now conducted, and no such authorizations or approvals shall contain any conditions or restrictions that Platte Valley reasonably believes will materially restrict or limit the business or activities of Platte Valley, Tri-County or the Subsidiaries or have a material adverse effect on their businesses, operations or financial conditions taken as a whole, including but not limited to:
i. Approval of the Federal Reserve Board for Platte Valley to acquire Tri-County by the Merger and to engage in a non-banking activity;
ii. Approval of the Office of Thrift Supervision ("OTS") for Platte Valley to become a thrift holding company by the Merger and to move the Tri-County Bank charter from its Torrington office to its Cheyenne office;
iii. Approval of the OTS and the Office of the Comptroller of the Currency for Tri-County Bank to sell and for Platte Valley National Bank, 1401 East M, Torrington, Wyoming, to acquire the Torrington and Wheatland branches of Tri-County Bank along with all of their assets and liabilities; and
iv. Approval of the OTS for a quasi-reorganization and/or for Tri-County Bank to pay a dividend or otherwise transfer all of its excess capital to Platte Valley.
Party Approvals. Any and all consents or approvals required from third parties relating to contracts, licenses, leases and other instruments, material to the business of New Allied, shall have been obtained.
