Past Patent Expenses. Licensor will pay past patent expenses up to a total of twenty thousand dollars ($20,000) incurred by Licensor in filing and prosecuting the patent application included in the Patents Rights due and payable when this Agreement is executed by Licensee. As of , 20 , these expenses are estimated at ($ ). Licensee will pay all future patent expenses as set forth in Article 11 hereof.
Past Patent Expenses. LICENSEE shall reimburse DFCI for expenses incurred in filing, prosecuting, maintaining, and enforcing Patent Rights prior to the Effective date of the Agreement (the “Incurred Patent Expenses”). The Incurred Patent Expenses shall be paid by LICENSEE to DFCI in two (2) installments as set forth below:
(a) Installment I, totaling $[ * ] for Incurred Patent Expenses as of August 31, 2005, Shall be paid by LICENSEE to DFCI within forty-five (45) days of the Effective Date.
(b) Installment II shall reflect the Incurred Patent Expenses for the period between September 1, 2005 and the Effective Date. The total amount for Installment II shall be invoiced to LICENSEE, presented at one time as a total sum and accompanied by copies of all original invoices contributing thereto, no later than sixty (60) days after the Effective Date. LICENSEE shall pay DFCI Installment II within forty-five (45) days of receiving such invoice from DFCI.
Past Patent Expenses. Within thirty (30) days after the Effective Date, Licensee shall reimburse DFCI for all out-of-pocket expenses incurred and paid by DFCI before the Effective Date for filing, prosecuting, maintaining and enforcing Patent Rights. Licensee acknowledges that the total amount of these patent expenses is, as of the Effective Date, [**] dollars ($[**]).
Past Patent Expenses. Past Patent Expenses billed to University through September 22, 2021 that have not yet been reimbursed amount to $6,550.00 (see invoice in Exhibit D). Past Patent Expenses may also include work incurred by University prior to Effective Date, but that has not been billed to University by Effective Date.
Past Patent Expenses. Licensee will pay $[**] as reimbursement for past expenses in filing and prosecuting patent applications included in Licensed Patents due and payable no later than October 15, 2005 . Licensee will pay future patent expenses as set forth in Section 7 (“Future Patent Expenses and Prosecution”).
Past Patent Expenses. Licensee shall reimburse past patent expenses incurred by Licensor in filing and prosecuting patent applications included in the Patents Rights according to the following payment plan. As of September 15, 2014, these expenses are estimated at [***] US Dollars ($[***]) (“Past Patent Expenses”).
(a) As partial reimbursement of Past Patent Expenses, Licensee shall pay to Licensor [***] US Dollars ($[***]) within Fifteen (15) calendar days following initiation of GLP Toxicology Studies with a Licensed Product by Licensee.
(b) As partial reimbursement of Past Patent Expenses, Licensee shall pay to Licensor [***] US Dollars ($[***]) within Fifteen (15) calendar days following completion of 28-day non-rodent GLP Toxicology Studies with a Licensed Product resulting in an Acceptable Toxicity Profile. The payments in 4.6 (a) and (b) above shall be payable whether the stipulated event is first achieved with a Licensed Product under this Agreement or a Licensed Product under the terms of the Exclusive License Agreement between KUCTC and Licensee, contract number [***]. Achievement of these events with a Licensed Product under this Agreement shall also satisfy the requirements for reimbursement of Past Patent Expenses under contract number [***].
Past Patent Expenses. Within [***] days after the Effective Date, Licensee shall reimburse MEE for [***] percent ([***]%) of the out-of-pocket expenses incurred and paid by MEE before the Effective Date for filing, prosecuting, maintaining and enforcing the Patent Rights. Licensee acknowledges that the total amount of these patent expenses is [***] dollars (US$[***]), and thus the [***]% portion to be reimbursed by Licensee is [***] dollars (US$[***]). In the event that MEE obtains additional third party licensees under the Patent Rights, Licensee’s [***]% share of expenses to be paid hereunder shall be reduced pro-rata to reflect the pro-rata share among all then-current licensees under the Patent Rights and Licensee shall be permitted to set off the amount of any such reduction against any payments owed to MEE by Licensee under Section 3.1.2.
Past Patent Expenses. Within [***] ([***]) [***] after the Effective Date, Licensee shall reimburse DFCI for all documented unreimbursed out-of-pocket expenses incurred and paid by DFCI before the Effective Date for filing, prosecuting, maintaining and enforcing Patent Rights. Licensee acknowledges that the total amount of these patent expenses is [***] ([***]). The parties acknowledge that Licensee has thus far reimbursed [***] ([***]) of these patent expenses in consideration of the grant on January 23, 2004, of an option to be granted the exclusive, worldwide license to the Licensed Intellectual Property and such sum will be fully credited toward Licensee’s obligation under this paragraph.
Past Patent Expenses. Within thirty (30) days after Licensee’s receipt of invoice, Licensee shall reimburse XXXX for all costs and expenses associated with the Patent Rights incurred prior to the Effective Date (the “Past Patent Expenses”). Past Patent Expenses are presently estimated to total [must get total from accounting and attach schedule]. Licensee will pay XXXX for Past Patent Expenses according to the following schedule:
Past Patent Expenses. Within thirty (30) days after the Effective Date, Licensee shall reimburse DFCI for twenty-five percent (25%) of all out-of-pocket expenses incurred by DFCI for filing, prosecuting, maintaining and enforcing Patent Rights prior to the Effective Date. Licensee acknowledges that the total amount of these patent expenses is one hundred thirty-eight thousand eight hundred twenty-three dollars and eighty-seven cents ($138,823.87). Licensee shall reimburse DFCI for these expenses in the amount of thirty-four thousand seven hundred five dollars and ninety-seven cents ($34,705.97).
