Payment to the Originators. The SPV shall not acquire any Receivable other than through, under, and pursuant to the terms of the First Tier Agreement, through the payment by the SPV either in cash or by increase of the capital contribution of the Originators pursuant to the First Tier Agreement, by increase in the Deferred Purchase Price, in an amount equal to the unpaid purchase price for such Receivable as required by the terms of the First Tier Agreement.

Payment to the Originators. With respect to any Receivable purchased by the Borrower from an Originator, such sale shall be effected under, and in compliance with the terms of, the Receivables Sale Agreement, including, without limitation, the terms relating to the amount and timing of payments to be made to the applicable Originator in respect of the purchase price for such Receivable.

Payment to the Originators. With respect to any Transferred Receivable, MRFC shall, and shall cause the Originators to, effect such sale under, and pursuant to the terms of, the Purchase Agreement, including, without limitation, the payment by MRFC either in cash or by increase in the amount of the Subordinated Notes of an amount equal to the purchase price for such Receivable as required by the terms of the Purchase Agreement.

  • Remittance Processing Services In order to provide a means of collection of the Receivables which will allow the Trustee to receive the proceeds of the Receivables and related security without AmeriCredit or its Affiliates having access to the funds, the parties hereto agree for the benefit of the Trustee that the processing services (the “Service(s)”) of Processor will be used for the collection and the deposit of remittances related to the Receivables and related security.
