Pending Litigation and Other Proceedings. There is no action, suit or proceeding pending in any court, any other Governmental Authority with jurisdiction over the Borrower or any arbitration in which service of process has been completed against the Borrower or, to the knowledge of the Borrower, any other action, suit or proceeding pending or threatened in any court, any other Governmental Authority with jurisdiction over the Borrower or any arbitrator, in either case against the Borrower or any of its properties or revenues, or any of the Related Documents to which it is a party, which is reasonably likely to result in a Material Adverse Effect.
Pending Litigation and Other Proceedings. There is no action, suit or proceeding pending in any court, any other governmental authority with jurisdiction over the County or any arbitration in which service of process has been completed against the County or, to the knowledge of the County, any other action, suit or proceeding pending in which service of process has been completed against the County in any court, any other governmental authority with jurisdiction over the County or any arbitrator, in either case against the County or any of its properties or revenues, or any of the Related Documents to which it is a party, which if determined adversely to the County would materially and adversely affect the rights, security, interests or remedies of the Purchaser hereunder or under any of the other Related Documents or which is reasonably likely to result in a Material Adverse Effect, except any action, suit or proceeding which has been brought prior to the Effective Date as to which the Purchaser has received an opinion of counsel satisfactory to the Purchaser, in form and substance satisfactory to the Purchaser and the Purchaser’s legal counsel, to the effect that such action, suit or proceeding is without substantial merit.
Pending Litigation and Other Proceedings. There is no pending action, proceeding or investigation before any Governmental Authority against or directly involving the Borrower, any Guarantor, a Borrower’s Member or the Management Company and, to the best knowledge of the Borrower after due inquiry, there is no threatened action, proceeding or investigation affecting the Borrower, any Guarantor, a Borrower’s Member or the Management Company before any Governmental Authority which, in any case, may materially and adversely affect (a) the validity or enforceability of any of the Loan Documents or (b) the ability of such Person to perform its obligations under any Loan Document or the Management Agreement.
Pending Litigation and Other Proceedings. Grantee warrants that there is no pending litigation or other proceedings related to the specific program that is being funded.
Pending Litigation and Other Proceedings. There is no pending action, proceeding or investigation before any Governmental Authority, against or directly involving the City and, to the best of the City’s knowledge, there is no threatened action, proceeding or investigation affecting the City before any Governmental Authority which, in any case, may materially and adversely affect the financial condition or operations of the City or the System or the validity or enforceability of any of this Agreement, the Fee Letter, the Notes, the Ordinance or the other Related Documents.
Pending Litigation and Other Proceedings. There is no litigation of any nature pending or, to the knowledge of such Purchaser, threatened against such Purchaser to restrain or enjoin the operations of any property of such Purchaser, or in any way contesting or affecting the obligations of such Purchaser hereunder, except to the extent that such litigation could not reasonably be expected to have an adverse effect on the obligations or a material adverse effect on the ability of the Purchasers to perform their obligations hereunder.
Pending Litigation and Other Proceedings. There is no action, suit, proceeding, inquiry or investigation, at law or in equity, before or by any court, governmental agency, public board or body, pending or, to the knowledge of the District, threatened against the District seeking to restrain or enjoin the sale or issuance of the Series 2016 Bonds or the Series 2016 Bonds, or in any way contesting or affecting any proceedings of the District taken concerning the sale thereof, the pledge or application of any moneys or security provided for the payment of the Series 2016 Bonds or the Series 2016 Bonds, the validity or enforceability of the documents executed by the District in connection with the Series 2016 Bonds or the Series 2016 Bonds, or the existence or powers of the District relating to the sale of the Series 2016 Bonds or the Series 2016 Bonds, except to the extent such litigation would not reasonably be expected to have a material adverse effect on the ability of the District to perform its obligations hereunder.

There is no action, suit or proceeding pending in any court (including, without limitation, the Litigation), any other Governmental Authority with jurisdiction over the Borrower or any arbitration in which service of process has been completed against the Borrower or, to the knowledge of the Borrower, any other action, suit or proceeding pending or threatened in any court, any other Governmental Authority with jurisdiction over the Borrower or any arbitrator, in either case against the Borrower or any of its properties or revenues, or any of the Related Documents to which it is a party, which is reasonably likely to result in a Material Adverse Effect. The Borrower has disclosed to the Lender in writing the existence of the Litigation and has made available to the Lender certain pleadings and filings thereto.
Pending Litigation and Other Proceedings. There is no action, suit or proceeding pending in any court, any other governmental authority with jurisdiction over the Company or any arbitration in which service of process has been completed against the Company or, to the knowledge of the Company, any other action, suit or proceeding pending or threatened in any court, any other governmental authority with jurisdiction over the Company or any arbitrator, in either case against the Company or any of its properties or revenues, or any of the Related Documents to which it is a party, which is reasonably likely to result in a Material Adverse Effect, except any action, suit or proceeding as to which the Bank has received an opinion of counsel satisfactory to the Bank, in form and substance satisfactory to the Bank and the Bank’s legal counsel, to the effect that such action, suit or proceeding is without substantial merit.
Pending Litigation and Other Proceedings. There are no legal, administrative, arbitration or other proceeding or governmental investigation pending or, to the best of Atrix's knowledge, threatened against or affecting Atrix relating to the Product or the transactions contemplated hereby, and to the best of Atrix's knowledge there has not occurred any event nor are there any facts upon which any such proceedings or investigations can be based.
