Performance of Lease Obligations. Borrower will perform promptly all of Borrower’s obligations under or in connection with the Leases.
Performance of Lease Obligations. Borrower shall perform and observe all applicable material terms and conditions of the lease (and any related agreements) pertaining to the new location.
Performance of Lease Obligations. PURCHASER agrees that, if SELLER does not obtain the termination of SELLER's guarantee of certain obligations of XxXxx pursuant to the lease by XxXxx of XxXxx'x facility in Carrollton, Texas, then PURCHASER shall, from and after the Closing, cause XxXxx to faithfully and timely perform all obligations of XxXxx pursuant to such lease including, without limitation, the payment of rent and the performance or observance of all covenants of XxXxx thereunder. PURCHASER further agrees to hold harmless and indemnify SELLER and its shareholders, directors, officers, employees, representatives, agents, successors and assigns from and against any Indemnified Liabilities which result from or arise out of any breach by XxXxx of its obligations under such lease in accordance with the provisions of Article 11 hereof."
(d) BOA and Seller hereby amend Section 11.14(a) of the Purchase Agreement to read in its entirety as follows:
(a) With respect to the indemnity obligation set forth in Section 11.2 herein, SELLER and PURCHASER shall not be required to indemnify and hold harmless the other until the aggregate amount of the Indemnified Liabilities owed to the Indemnified Party hereunder exceeds Seven Million Five Hundred Thousand Dollars ($7,500,000) (the "Basket Amount"); provided, however, that at such time as such Indemnified Liabilities exceed the Basket Amount, the Indemnifying Party shall pay to the Indemnified Party Three Million Seven Hundred Fifty Thousand Dollars ($3,750,000) plus any and all other Indemnified Liabilities resulting from the indemnity obligation pursuant to Section 11.2 in excess of such Seven Million Five Hundred Thousand Dollars ($7,500,000) amount. Nothwithstanding the foregoing, none of the limitations in this Section 11.14(a) shall be applicable to any breach of any covenant or agreement of a party hereto contained herein, or to any breach of any of SELLER'S representations or warranties set forth in Section 4.5 hereof other than those contained in the first sentence of Section 4.5 or with respect to the BioMed Shares."
Performance of Lease Obligations. Sublessee shall, throughout the Sublease Term, timely and fully observe and perform all of the provisions of the Lease on the part of Sublessor to be performed as tenant under the Lease with respect to the Subleased Premises. Sublessee will not do or permit to be done with respect to the Premises any act that will be in violation or breach of the Lease. Notwithstanding anything herein to the contrary, (i) Sublessor shall have no obligation to perform or have performed any construction or finish-out work to the Subleased Premises for the benefit of Sublessee, other than to use reasonable efforts upon Sublessee's written request to enforce Lessor's obligations under the Lease, and (ii) with respect to other services and obligations performed or to be performed by Lessor under the Lease, Sublessor shall have no independent obligation as Sublessor to Sublessee hereunder, it being understood and agreed that Lessor shall have sole responsibility for such obligations, and that Sublessor shall have no obligations or liability to Sublessee for any failure of Lessor to perform such services or obligations.
Performance of Lease Obligations. Mortgagor will use commercially reasonable efforts to keep the Property fully leased at rental rates prevailing in the market and to perform, in all material respects, all of Mortgagor's obligations under or in connection with each present and future lease of all or any part of the Property ("Leases").
Performance of Lease Obligations. Prior to and up until the Closing Date, the Seller shall perform all of the obligations of the tenant under the terms of the Lease. From and after the Closing Date, the Purchaser shall perform all of the obligations of the tenant under the terms of the Lease, and Purchaser will use its best efforts to remove the Seller from any post-Closing obligations under the Lease.
Performance of Lease Obligations. Grantor will perform promptly all of Grantor's obligations under or in connection with each present and future lease of all or any part of the Property. If Grantor receives at any time any written communication from the tenant under any such lease asserting a default by Grantor under such lease, or purporting to terminate or cancel such lease, Grantor will promptly forward a copy of such communication (and any subsequent communications relating thereto) to Beneficiary.
Performance of Lease Obligations. From and after the Closing Date Acquisition shall perform the obligations of the tenant under the terms of the Lease.
Performance of Lease Obligations. Trustor will fully perform all of its obligations under the Lease in a timely fashion.
Performance of Lease Obligations. Licensee further agrees to assume the obligation for performance of all City’s obligations under the Lease with respect to the Premises, except as may be specifically modified by this License and excluding City’s obligation to pay rent to Prologis under the Lease.
