PERFORMANCE OF NECESSARY ACTS. Upon execution and approval of this Agreement by the Court, each party shall deliver to the other party, or permit the other party to take possession of all items of property to which each is entitled under the terms of this Agreement, and shall make all periodic payments required under the terms of this Agreement. Upon failure of either party to execute and deliver any deed, conveyance, title, certificate or other document or instrument to the other party, an order of the Court incorporating this Agreement shall constitute and operate as a properly executed document, and the County Auditor, County Recorder, Clerk of Courts and/or all other public and private officials shall be authorized and directed to accept a properly certified copy of a court order incorporating this Agreement, a properly certified copy of the Agreement or an order of the Court in lieu of the document regularly required for the conveyance or transfer.

Within 15 days after journalization of a Decree of Dissolution of Marriage of the parties or of a Decree of Divorce between the parties, incorporating this agreement or any amendment or modification thereto, each party shall execute and deliver all deeds, conveyances, titles, certificates and other documents or instruments necessary and proper to effectuate all the terms of this agreement. Upon the failure of either party to execute and deliver any such deed, conveyance, title, certificate or other document or instrument to the other party, this agreement shall constitute and operate as such properly executed document and the County Auditor, County Recorder and/or Clerk of Courts and any and all other public and private officials are authorized and directed to accept this agreement or a properly certified copy o fit instead of the document regularly required for such conveyance or transfer.

ICT represents and warrants that it has, and covenants, that at all times during the Option period it will have sufficient authorized shares of AcNet reserved for issuance upon exercise of MCC's option under this Agreement.
PERFORMANCE OF NECESSARY ACTS. I will cooperate fully with Associated in working towards a smooth transition on matters for which I was responsible prior to my resignation. To that end, I will perform all necessary acts and will share all information relevant to work in progress at the time of my resignation. In the event my testimony or assistance is needed for pending or future disputes involving matters during my employment with Associated, I will cooperate by supplying thorough and accurate information and by making myself available to Associated and its counsel. Furthermore, in the event my testimony or assistance is required by Associated after December 31, 1999, I will cooperate in the manner just described, and I will be compensated as an independent consultant for any time that consists of more than one-half of a workday in any one week at the rate of $500.00 for each half day.
PERFORMANCE OF NECESSARY ACTS. The Owners agree to perform any further acts and to execute and deliver any additional documents which may be reasonably necessary in the opinion of counsel to the Entity in order to carry out the provisions of this Agreement.

Each party shall execute any and all deeds, bills of sale, endorsements, forms, conveyances or other documents, and perform any act which may be required or necessary to carry out and effectuate any and all of the purposes and provisions herein set forth. Upon the failure of either party to execute and deliver any such deed, bill of sale, endorsement, form, conveyance or other documents to the other party, this Agreement shall constitute and operate as such properly executed document. The County Auditor, County Recorder and any and all other public and private officials are authorized and directed to accept this Agreement or a properly certified copy hereof in lieu of the document regularly required for the conveyance or transfer.
