Performance of Services: Proponent's Obligations. (a) General Obligation The Proponent agrees to design, produce, install and repair the TP (all references to the Proponent repairing the TP in this Agreement, unless the context requires otherwise, mean repairing deterioration of the TP related to workmanship or materials) in accordance with the terms of this Agreement, and all applicable legislation, policies, procedures, by-laws and regulations and to perform the Services as set out in this Agreement, together with such other services in connection with the TP as the City acting reasonably may require, in a careful and professional manner, at the Proponent's sole cost, to the reasonable satisfaction of the City.

It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • TRANSNET’S OBLIGATIONS 8.1 Transnet undertakes to promptly comply with any reasonable request by the Supplier/Service Provider for information, including information concerning Transnet's operations and activities, that relates to the Goods/Services as may be necessary for the Supplier/Service Provider to provide the Goods/Services, but for no other purpose. However, Transnet's compliance with any request for information is subject to any internal security rules and requirements and subject to the observance by the Supplier/Service Provider of its confidentiality obligations under this Agreement.
