2.5 Digital Shadows will not sell or exploit the Personal Data it is Processing for the Customer for profit with any third party.

6.2.2 The Customer retains control of the Customer Data and remains responsible for its compliance obligations under the applicable Data Protection Legislation, including without limitation providing any required notices, undertaking any impact assessments, communicating to Users any relevant justifications and obtaining any required consents (including in respect of any Special Categories of Personal Data to be processed by tootoot as part of the User’s access to the Services), and for the processing instructions it gives to tootoot.

(a) The Provider is the controller of the Provider Personal Data;
(b) Chemonics is the controller and the Provider is the processor of the Chemonics Personal Data;
(c) Chemonics retains control of the Chemonics Personal Data and remains responsible for its compliance obligations under the Data Protection Legislation, including but not limited to, providing any required notices and obtaining any required consents, and for the written processing instructions it gives to the Provider; and
(d) in relation to the Chemonics Personal Data, Part 2 of Annex A describes the subject matter, duration, nature and purpose of the processing and the personal data categories and data subject types in respect of which the Provider may process the Chemonics Personal Data to fulfil the Business Purposes.
2.2 Should the determination in clause 2.1(a) or clause 2.1(b) change, then each party shall work together in good faith to make any changes that are necessary to clause 1, clause 2, and/or the Annexes.
