The Licensee, the Distributor and the Publisher together and individually acknowledge and agree that the Licensee neither transfers nor provides any personally identifiable information (personal data) of the Authorized Users to the Distributor. Access to the Licensed Materials is primarily granted via IP Addresses pursuant to Section 4.2(a) of this Agreement which prevent any identification of the Authorized User. In case of the Distributor or the Publisher - Administered Authentication pursuant to Section 4.2(b) of this Agreement, the Distributor and the Publisher are required to ensure lawful processing of any personally identifiable information (personal data). This does not preclude the Licensee to hand over the contact details of the Participating Institutions’ contact persons or other personal data where the Licensee has a valid legal basis therefor.

For avoidance of doubt, each Party is the data controller for any personal data it collects and provides to another Party, unless the Data Protection Law bindingly determines otherwise.

The Licensee acknowledges that there may be processing of personally identifiable information (personal data) of Authorized Users, however in any case only the Participating Institution and the Distributor or Publisher will process personal data of Authorized Users as independent controllers or processors, without any involvement of the Licensee.

Both the Licensee and the Licensor together and individually acknowledge and agree that the Licensee neither transfers nor provides any personally identifiable information (personal data) of the Authorized Users to the Licensor; neither does the Licensee obtain any personally identifiable information (personal data) of the Authorized Users from the Licensor. Access to the Licensed Materials is primarily granted via access codes pursuant to Section 4.2(a) of this Agreement. The access codes provided by the Licensor are not attributable to a specific Authorized User before the Authorized User redeems a specific access code. The Licensor is required and solely responsible to ensure lawful processing of any personally identifiable information (personal data) once the Authorized User redeems his/her access code. This does not preclude the Licensee to hand over the contact details of the Participating Institutions’ contact persons or other personal data where the Licensee has a valid legal basis therefore.
Personally Identifiable Information (Personal Data) of Authorized Users. Both the Licensee and the Licensor acknowledge and agree that the Licensee neither transfers nor provides any personally identifiable information (personal data) of the Authorized Users to the Licensor nor determines or preselects the Licensee any sort of Authorized User’s authentication. Any way of authentication of the Authorized Users as specified in this Section 4.2 (a) – 4.2 (c) is selected and determined by the Licensor and the respective Participating Institution without any Licensee’s interference. In case of Licensor-Administered Authentication pursuant to Section 4.2 (a) and 4.2 (c), the Licensor is required to ensure with the respective Participating Institutions lawful processing of any personally identifiable information (personal data).This does not preclude the Licensee to hand over the contact details of the Participating Institutions’ contact persons or other personal data where the Licensee has a valid legal basis therefor.
