Picture Quality. Grantee shall reproduce and send to all customers cable programming on all channels which is clear, audible and without distortion, and in accordance with FCC regulations. Acceptable picture and sound quality shall be provided, free of fuzziness, lines or any other annoying interference.

Picture Quality. The cable System shall deliver to the Subscriber's ---------------- terminal a signal that is capable of producing a black-and-white or colored picture without visual material degradation.
Picture Quality o The video signal must be free of black crushing, highlight compression; must not contain streaking, ringing, smear, moiré or other patterning. o No visible video noise due to excessive number of generations or equipment not meeting normally acceptable broadcast standards. o Video noise due to multi- generations should be minimised by using suitable noise reduction systems. o Video noise creates unnecessary compression artefacts on broadcast encoders which reduce the overall quality of the image. o No visible digital artefacts or ordinator.
Picture Quality. The camera, viewing monitor and other components of the inspection system shall be capable of producing picture quality to the satisfaction of the District and shall provide an image that meets the following specifications, or approved equal.

  • Future Services The Consultant acknowledges each of the following with regard to performing future services for the City: • The Consultant’s performance of Work in an Approved Service Order may create an actual or appearance of a conflict of interest with regard to the Consultant performing or participating in the performance of some related future services, particularly when the Work in an Approved Service Order comprises one element or aspect of a multi- phase process or project; • Such an actual or appearance of a conflict of interest would be a ground for the City to disqualify the Consultant from performing or participating in the performance of such future services; and • The Consultant is solely responsible for considering what potential conflicts of interest, if any, performing Work in an Approved Service Order might have on its ability to obtain contracts to perform future services.

  • Due Qualification The Servicer is duly qualified to do business as a foreign corporation, is in good standing and has obtained all necessary licenses and approvals, in all jurisdictions in which the ownership or lease of property or the conduct of its business (including the servicing of the Receivables as required by this Agreement) requires or shall require such qualification;

  • Existence; Qualification The Borrowers will at all times preserve and keep in full force and effect their existence as a limited partnership, limited liability company, or corporation, as the case may be, and all rights and franchises material to its business, including their qualification to do business in each state where it is required by law to so qualify.   • Research Analyst Independence The Company acknowledges that the Underwriters’ research analysts and research departments are required to be independent from their respective investment banking divisions and are subject to certain regulations and internal policies, and that such Underwriters’ research analysts may hold views and make statements or investment recommendations and/or publish research reports with respect to the Company and/or the offering that differ from the views of their respective investment banking divisions. The Company hereby waives and releases, to the fullest extent permitted by law, any claims that the Company may have against the Underwriters with respect to any conflict of interest that may arise from the fact that the views expressed by their independent research analysts and research departments may be different from or inconsistent with the views or advice communicated to the Company by such Underwriters’ investment banking divisions. The Company acknowledges that each of the Underwriters is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the companies that may be the subject of the transactions contemplated by this Agreement.
