Other Components definition

Other Components has the meaning set forth in Section 1.18.

Other Components means any delivery system(s), devices(s), companion diagnostics and/or one or more additional ACTIVE INGREDIENTS, none of which are LICENSED PRODUCTS, but which may each or collectively form the basis for a separate product, and: i) OTHER COMPONENT enhances the market value of the COMBINATION PRODUCT; and ii) the SALE, use or import of such OTHER COMPONENT by itself does not contribute to or induce the infringement of REGENTS’ PATENT RIGHTS.

Other Components means other pharmaceutically active compounds or substances (including products that contain [***] other than those included in such Product) that [***], that are [***] within a single box or sales unit or that are sold separately but approved (or being developed for approval) for use in [***], whether sold at a single price point or under separate price points or as part of a course [***], in each case, which compounds or substances are not a Product, are not Covered by an HMI Patent Right, and do not embody HMI Know-How.

Examples of Other Components in a sentence

• If, on a country-by-country basis, the Other Components are not sold separately in a country, Net Sales in such country for the purpose of determining royalties of the Combination Product shall be calculated by multiplying actual Net Sales of such Combination Product in such country by the fraction A/C where A is the standard sales price in such country of a Comparable Product, if sold separately, and C is the standard sales price of the Combination Product in such country.

Other Components means other clinically active (a) compounds or (b) substances, in each case (a) and (b), including those that Modulate a gene target, that are co-formulated or co-packaged within a single box or sales unit or that are sold separately but approved (or being developed for approval) for use in combination, whether sold at a single price point or under separate price points or as part of a course of treatment, which compounds or substances that have a clinical effect when administered as a stand-alone product, are not a Product, are not Covered by a Codexis Patent, and do not embody any Codexis Know-How.
