Place of jurisdiction and applicable law. (1) The place of jurisdiction for any disputes arising from this Master Agreement and the individual agreement is Kassel, Germany. Disputes shall be ruled on by ordinary jurisdiction.
(2) This Master Agreement and the individual agreement shall be governed solely by the law of the Federal Republic of Germany, to the exclusion of international private law. The provisions of the UN Convention on Contracts for the International Sale of Goods shall not apply.
Place of jurisdiction and applicable law. 20.1 Spanish substantive law shall apply, excluding the provisions of the United Nations Law on the Sale of Goods of 11th of April 1980. The court of jurisdiction shall be Madrid.
Place of jurisdiction and applicable law. For this agreement and the entire legal relationship be- tween the parties Austrian Law shall apply with the ex- ception of reference norms. Applicability of the UN Con- vention on Contracts for the International Sale of Goods, CISG, shall consensually be excluded.

If the Contractor is a merchant according to German Commercial Code (HGB), the exclusive place of jurisdiction shall be the location of our registered office. We are entitled, however, to commence proceedings before any court having jurisdiction over the Contractor's registered office.
30.2. The contract and the legal relationship between the Contractor and us shall be governed by the substantive laws of the Federal Republic of Germany with the exclusion of its conflict of laws principles. The United Nations Convention on Contracts and the International Sale of Goods (CISG) of April 11, 1980 shall not apply.

Any proceeding arising out of or relating to this Agreement shall be brought in the courts located in the jurisdiction of the principal office of the Buyer, and each of the Parties irrevocably submits to the exclusive jurisdiction of each such court in any such proceeding, waives any objection it may now or hereafter have to venue or to convenience of forum, agrees that all claims in respect of such proceeding shall be heard and determined only in any such court, and agrees not to bring any proceeding arising out of or relating to this Agreement in any other court. Each Party acknowledges and agrees that this Section constitutes a voluntary and bargained-for agreement between the Parties.
18.2. The laws of the State of Delaware shall govern this Agreement, without regard to its conflict of laws principles. The application of the conflict of laws of international private law (IPR) and of the UN Convention on the International Sale of Goods (CISG) is excluded.
